Either party may terminate this Agreement for material breach by the other party if such breach is not cured within days after written notice. Client may cancel by written notice to Service Provider; cancellation fees apply as set forth herein.

Cancellation and Refunds

If Client cancels more than days prior to the Event Date, Service Provider will retain the deposit as a cancellation fee. If cancellation occurs within days of the Event Date, Client remains liable for % of the Total Fee as liquidated damages, in addition to any non-recoverable third-party costs.

Confidentiality

Each party shall treat as confidential and shall not disclose to any third party any confidential or proprietary information of the other party disclosed in connection with this Agreement, except as required by law. Confidential information does not include information that is publicly available through no fault of the receiving party or independently developed without use of the disclosing party's confidential information.

Indemnification; Limitation of Liability

Each party agrees to indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from the indemnifying party's breach of this Agreement, negligence or willful misconduct. EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, THE AGGREGATE LIABILITY OF SERVICE PROVIDER UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO SERVICE PROVIDER.

Force Majeure

Neither party shall be liable for delays or failures to perform caused by events beyond its reasonable control, including acts of God, war, pandemics, government orders, fire, flood, strikes, or other disasters. The affected party shall provide prompt written notice of the event and a reasonable estimate of the duration of the delay.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles. Any dispute arising out of this Agreement shall first be submitted to good faith negotiation between the parties; if unresolved, the dispute shall be resolved by binding arbitration in accordance with the rules agreed by the parties.

Assignment and Subcontracting

Service Provider may engage subcontractors to perform portions of the Services, provided Service Provider remains responsible for the performance and compliance of any subcontractors with this Agreement. This Agreement, including any attachments or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. Any modification or amendment to this Agreement must be in writing and signed by both parties.

Notices required under this Agreement shall be sent to the addresses provided above or to such other address as either party may designate in writing. Notices shall be effective upon personal delivery, confirmed electronic delivery, or three (3) days after deposit with the United States Postal Service, postage prepaid.
