EVENT CEREMONY AGREEMENT

WHEREAS

WHEREAS, Client desires to engage Service Provider to perform services related to the planning, coordination, and conduct of an event ceremony as described in this Agreement; and

WHEREAS, Service Provider represents that it has the experience, personnel, and resources necessary to perform the services for the Event Date at the Event Location described below; and

WHEREAS, the parties desire to set forth their respective responsibilities, compensation, and other terms and conditions in writing.

Payments shall be made by the method agreed in writing. Failure to timely pay undisputed amounts constitutes a material breach and may result in suspension of services until payment is received.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the proposed termination date. Termination for cause may be immediate if the non‑breaching party provides written notice of material breach and the breaching party fails to cure within 10 days of receipt of such notice.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information and materials disclosed by the other party in connection with the performance of this Agreement ("Confidential Information"). Confidential Information shall not include information that is (i) publicly known through no breach of this Agreement; (ii) already in the receiving party's possession prior to disclosure and not subject to another confidentiality obligation; or (iii) independently developed without use of the disclosing party's Confidential Information.

The receiving party shall use Confidential Information solely to perform its obligations under this Agreement and shall not disclose Confidential Information to any third party except to employees, subcontractors, or agents who have a need to know and who are subject to confidentiality obligations at least as protective as those set forth herein. Upon termination or expiration of this Agreement, each party shall return or certify destruction of Confidential Information within 30 days of written request.

INSURANCE AND SAFETY

Service Provider shall maintain, at its expense, commercial general liability insurance in amounts consistent with industry standards and any venue requirements and shall provide proof of insurance upon Client request. Service Provider is responsible for compliance with applicable permits, licenses, and safety regulations for the Event.

Service Provider confirms required insurance will be maintained and evidence will be provided upon request.

CANCELLATION; FORCE MAJEURE

If Client cancels the Event more than 60 days prior to the Event Date, Service Provider will refund any portion of payments remaining after deduction for non‑recoverable costs. If Client cancels within 60 days of the Event Date, Client remains responsible for the full fee unless Service Provider is able to rebook comparable work, in which case amounts recovered from rebooking will reduce Client's obligation.

Neither party shall be liable for failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, government action, labor disputes, or other events of force majeure. The affected party shall give prompt written notice and use reasonable efforts to resume performance.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law rules. Venue for any dispute arising under this Agreement shall be the state or federal courts located in that state.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by hand, certified mail, or other traceable method to the addresses specified above and shall be effective upon receipt.

ENTIRE AGREEMENT

This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals, and agreements, whether written or oral. No amendment to this Agreement shall be binding unless in writing and signed by both parties.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that they have had the opportunity to review this Agreement and to seek independent counsel prior to execution.
