EVENT CONCERT ACCESS AGREEMENT

This Event Concert Access Agreement ("Agreement") is entered into as of Effective Date: by and between:

WHEREAS

WHEREAS, Access Provider operates or controls credentialed access to the concert event identified below and possesses authority to grant limited access to designated areas for the purposes described herein; and

WHEREAS, Access Recipient requires temporary access for the Event for the stated purposes and agrees to perform and compensate Access Provider under the terms and conditions of this Agreement.

Access Provider grants Access Recipient and its authorized personnel the non-exclusive, non-transferable right to enter specified areas of the venue for the purpose(s) described below during the Term. Access is strictly limited to the access levels and times expressly set forth in this Agreement.

PAYMENT TERMS

Access Recipient shall pay Access Provider the fees set forth below in consideration for the rights granted. All amounts are in U.S. dollars unless otherwise specified.

Late Payment: Any amount not received by the due date shall incur interest equal to or the maximum allowed by applicable law, whichever is less. Access Provider may suspend or revoke access for nonpayment without liability for any loss to Access Recipient.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. In addition, Access Provider may immediately suspend or revoke access for safety, security, or venue rule violations.

CONFIDENTIALITY

Each party acknowledges that during the Term it may receive confidential information of the other party, including but not limited to credentialing procedures, security protocols, and proprietary event logistics ("Confidential Information"). Recipient shall (i) hold Confidential Information in strict confidence; (ii) not disclose Confidential Information except to those employees or contractors with a strict need to know who are bound by confidentiality obligations; and (iii) use Confidential Information solely to exercise rights and perform obligations under this Agreement. Confidentiality obligations survive termination for a period of three (3) years.

INSURANCE, INDEMNITY & LIABILITY

Access Recipient agrees to maintain at its expense commercial general liability insurance covering its activities at the Event. Proof of insurance shall be provided to Access Provider upon request and no later than .

Access Recipient shall defend, indemnify and hold harmless Access Provider and its affiliates, officers and employees from any claims, liabilities, losses, costs or expenses (including reasonable attorneys' fees) arising from Recipient's use of access, breach of this Agreement, or violation of venue rules, except to the extent caused by Access Provider's gross negligence or willful misconduct. Neither party shall be liable for incidental or consequential damages except for amounts arising from gross negligence or willful misconduct.

CREDENTIAL USE & RETURN

Credentials remain the property of Access Provider. Access Recipient shall ensure credentials are worn only by authorized individuals and returned immediately upon request or at the conclusion of the Term. Lost or unreturned credentials will incur a replacement fee of $.

COMPLIANCE WITH VENUE RULES

Access Recipient and its authorized personnel must comply with all venue safety, security, and credentialing procedures. Failure to follow venue rules may result in immediate revocation of access without refund and may subject Recipient to additional sanctions imposed by the venue.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Venue for any dispute arising out of or related to this Agreement shall be the state or federal courts located in that State.

ENTIRE AGREEMENT

This Agreement, together with any attachments or written addenda signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior discussions, proposals, and understandings. Any amendment must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
