Scope of Work

The Vendor shall provide the food, beverage, staff, equipment and setup described in this Agreement. The detailed description of services, deliverables and responsibilities shall be as follows:

The Client shall pay the Vendor in accordance with the following schedule. All amounts are due in United States currency unless otherwise agreed in writing. The Client's obligation to pay is unconditional except as expressly provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period set forth above. Termination for convenience by Client may be subject to cancellation fees set forth in the Cancellation Policy below.

Confidentiality

Each party shall maintain in confidence all non-public business information disclosed by the other party in connection with this Agreement and shall not disclose such information to any third party except as required by law. Confidential information does not include information that is or becomes publicly available other than through breach of this provision.

Liability & Insurance

Vendor shall maintain commercial general liability and, where applicable, liquor liability insurance and provide certificates of insurance upon request. Vendor's liability for loss or damage arising from its performance shall be limited to direct damages and shall exclude consequential damages to the fullest extent permitted by law.

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

Entire Agreement

This Agreement, including any attachments and menus incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

Any notices required under this Agreement shall be given in writing to the addresses provided by the parties. If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
