EVENT CONVENTION AGREEMENT

This Event Convention Agreement (the Agreement) is made and entered into as of the Effective Date set forth below by and between the parties identified herein.

WHEREAS, Organizer intends to produce an event convention described below and requires the services and cooperation of Counterparty in connection with the planning, presentation, or provision of goods and services for the event; and

WHEREAS, Counterparty has represented that it has the expertise, personnel, equipment, and authority necessary to perform the services and deliverables set forth in this Agreement and is willing to perform such services subject to the terms and conditions herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in this Agreement and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Scope of Work

Counterparty shall provide the goods and services described below in a professional manner consistent with industry standards. The scope includes setup, staffing, equipment, coordination with venue, and reasonable post-event breakdown unless otherwise specified.

Payment Terms

Compensation for the services described in this Agreement shall be payable as follows. All fees are exclusive of applicable taxes unless otherwise stated; the paying party is responsible for remitting taxes where required by law.

Late Payment: Any undisputed amount not paid by its due date shall accrue interest at the rate of or the maximum rate permitted by applicable law, whichever is lower. In addition, the non-paying party shall be responsible for reasonable collection costs, including attorney fees.

Term and Termination

This Agreement shall commence on the Start Date and, unless earlier terminated in accordance with this section, shall terminate on the End Date.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within days after written notice specifying the breach. Organizer may terminate for convenience upon days' prior written notice, subject to payment for work performed and non-cancellable obligations.

Confidentiality

Each party (the Receiving Party) may receive certain confidential or proprietary information of the other party (the Disclosing Party). Receiving Party shall: (a) hold such information in strict confidence using at least the same degree of care it uses to protect its own confidential information; (b) use such information solely for performance under this Agreement; and (c) not disclose such information to any third party except to its employees, agents, contractors, or professional advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those contained herein. Confidential information shall not include information which: (i) is or becomes publicly known without breach of this Agreement; (ii) is already known to Receiving Party at the time of disclosure; (iii) is lawfully obtained from a third party without restriction; or (iv) is independently developed without use of or reference to Disclosing Party's confidential information.

Insurance and Indemnity

Counterparty shall maintain and provide evidence of commercial general liability insurance and other coverages appropriate to the services. Counterparty agrees to indemnify, defend, and hold Organizer harmless from and against all claims, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of Counterparty's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by Organizer's negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of law principles. Any dispute arising under or relating to this Agreement shall be resolved in the state or federal courts located in that jurisdiction, and the parties submit to the exclusive personal jurisdiction of such courts.

Entire Agreement and Amendments

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above. If any provision of this Agreement is held invalid or unenforceable, the remainder shall continue in full force and effect. The parties are independent contractors; nothing in this Agreement creates an agency, partnership, or joint venture relationship.
