Event Coordination Memorandum of Understanding (MOU)

Recitals

WHEREAS, Organizer conducts event planning and coordination services and has represented that it has the expertise and personnel required to coordinate the event described below; and

WHEREAS, Client desires to retain Organizer to perform coordination services in connection with the event titled , to be held on at .

WHEREAS, the parties intend by this Memorandum of Understanding to set forth the principal terms and conditions under which Organizer will provide coordination services for the event.

Scope of Work

Organizer will provide coordination, management, and oversight services necessary for the planning, on-site execution, and post-event wrap-up for the event. Tasks include, but are not limited to, vendor coordination, timeline development, on-site staffing, logistics management, and contingency planning. Detailed services to be provided are described below.

Payment Terms

Client shall pay Organizer for services in accordance with the fee schedule set forth below. All amounts are in lawful currency of the United States unless otherwise stated.

Late payments shall incur a late fee of on outstanding balances, compounded monthly, and Organizer may suspend services if payments are more than days past due.

Term and Termination

This MOU shall commence on the Effective Date and shall continue in effect until completion of the services described herein, unless earlier terminated in accordance with this section.

Either party may terminate this MOU for convenience upon giving written notice to the other party at least days prior to the intended termination date. Either party may terminate for material breach upon written notice if the breach is not cured within days following receipt of written notice of such breach.

Confidentiality

Each party acknowledges that, in the course of performing under this MOU, it may obtain confidential or proprietary information of the other party ("Confidential Information"). Each party agrees to hold in confidence and not disclose Confidential Information to any third party and to use such Confidential Information solely for the performance of this MOU. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law, provided notice is given to the disclosing party where legally permitted.

Insurance, Indemnification and Liability

Organizer shall maintain general liability insurance in amounts customary for event coordination services and shall provide proof of insurance upon Client request. Organizer and Client each agree to indemnify, defend and hold harmless the other party and its officers, agents and employees from and against any third party claims, damages or liabilities arising out of the indemnifying party's negligent acts or willful misconduct in connection with this MOU.

Except for claims arising from gross negligence or willful misconduct, the aggregate liability of Organizer arising out of or related to this MOU shall not exceed the total fees actually paid by Client to Organizer under this MOU.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, government action, labor disputes, shortages of materials, or public health emergencies. The affected party shall give prompt written notice and shall use reasonable efforts to resume performance.

Notices

All notices required or permitted under this MOU shall be in writing and delivered to the parties at the addresses set forth above, or to such other address as either party may designate in writing. Notice is effective upon personal delivery, three (3) days after mailing by certified mail, or one (1) day after confirmed overnight courier.

Governing Law; Entire Agreement; Amendment

This MOU shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.

This MOU constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, or agreements, whether written or oral. Any amendments or modifications to this MOU must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

If any provision of this MOU is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this MOU creates an agency, partnership, joint venture, or employment relationship.
