EVENT COVERAGE AGREEMENT

This Event Coverage Agreement (the Agreement) is made effective as of between Client Name: (Client) and Service Provider Name: (Provider).

RECITALS

WHEREAS, Client desires to engage Provider to perform media coverage and related services for an event described below (the Event), and Provider represents that it has the expertise, personnel and equipment to provide such services in accordance with the terms set forth in this Agreement.

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the scope of work, compensation and other material terms governing Provider's engagement for the Event.

WHEREAS, Provider will deliver the coverage services and deliverables described herein and Client will pay the fees and comply with the terms in this Agreement.

SCOPE OF WORK

Provider shall perform event coverage services including but not limited to on-site photography/videography, post-production editing, delivery of final media files, and other deliverables as set forth below. Specific deliverables, formats, and deadlines must be described by the parties in the space provided or by attachment incorporated into this Agreement.

PAYMENT TERMS

Late Payment: Any undisputed amount not paid within days after the due date shall incur a late fee of % per month on the outstanding balance, or the maximum permitted by law, whichever is lower.

Expenses: Client shall reimburse Provider for pre-approved out-of-pocket expenses reasonably incurred for the Event (travel, lodging, permits, assistant fees). Reimbursable expenses require submission of receipts and will be invoiced separately.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within days after written notice. Either party may terminate without cause upon days' prior written notice, subject to Client's obligation to pay for services performed and non-cancelable commitments.

Effect of Termination: Upon termination, Provider shall deliver all completed work and Client shall pay any outstanding fees and reimbursable expenses accrued through the termination date. Non-refundable deposits shall remain the property of Provider as liquidated damages where applicable.

CONFIDENTIALITY

Each party shall hold in confidence and not disclose any Confidential Information of the other party. "Confidential Information" means non-public business, technical or financial information disclosed in connection with this Agreement. Confidentiality obligations shall not apply to information that (a) is or becomes publicly known through no breach of this Agreement, (b) was rightfully in the receiving party's possession prior to disclosure, or (c) is required to be disclosed by law, provided the disclosing party is given prompt notice to seek protective relief.

Provider may use and retain copies of images, video and other media produced in connection with the Event for Provider's portfolio, marketing, contests and self-promotion unless Client specifically and contemporaneously delivers a written restriction prohibiting such use. Any restriction on Provider's use must be agreed in writing and may be subject to additional fees.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Provider retains copyright in all photographic and video works created by Provider. Provider grants Client a non-exclusive, non-transferable license to use the final deliverables for Client's promotional and internal uses identified in this Agreement. Any additional uses, sublicensing, or transfers require Provider's prior written consent and may require additional compensation.

LIMITATION OF LIABILITY & INDEMNIFICATION

Provider's liability to Client for any claim arising out of or relating to this Agreement shall be limited to direct damages not to exceed the total amounts paid by Client to Provider under this Agreement. In no event shall either party be liable for consequential, incidental, special or punitive damages. Client shall indemnify and hold Provider harmless from claims arising from Client's acts or omissions, including the use of deliverables beyond the scope of the license granted herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments or addenda executed by the parties, constitutes the entire agreement between Client and Provider with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.
