What the Event Decorators Agreement Covers

An Event Decorators Agreement is a written contract between a client and a decorator that defines the scope of services for an event, the deliverables, payment terms, schedule, and liability allocations. The document clarifies responsibilities for setup, teardown, damage, cancellations, and substitutions of goods or vendors, and it commonly attaches price lists, delivery windows, insurance requirements, and a work schedule as exhibits. A clear agreement reduces disputes, documents expectations, and creates an enforceable record of the parties' commitments.

Why a Formal Agreement Matters for Event Decoration

A written Event Decorators Agreement creates predictable expectations for both parties, allocates risk, and provides enforceable remedies if obligations are breached. It also documents payments, insurance coverages, and cancellation policies, and supports claims or insurance recovery where applicable.

Why a Formal Agreement Matters for Event Decoration

Typical Parties and Stakeholders

Use this agreement to make responsibilities clear early and to reduce operational friction during setup, event, and teardown phases.

  • Independent decorators and rental companies: outline scope, responsibility for installation, and damage liabilities to protect both parties.
  • Event planners and corporate clients: set deadlines, acceptance criteria, and invoicing terms to coordinate multi-vendor logistics.
  • Venue owners and managers: require proof of insurance and indemnities to protect premises and third parties.

Who Signs and Why

Event Planner

An event planner signs to authorize design and logistical decisions on behalf of a client, ensure budget and timing coordination, and confirm acceptance criteria for deliverables in writing to avoid scope disputes.

Venue Owner

A venue owner or authorized manager signs to confirm access permissions, venue rules, insurance requirements, and to document any venue-specific restrictions that affect installation, load-in, or teardown.

Essential Compliance and Security Provisions to Include

Insurance Proof: General liability and limits
Indemnity: Party responsible for third-party claims
Damage Limits: Caps on decorator liability
Privacy: Handling of attendee personal data
Payment Terms: Deposit, balance, and refund rules
Force Majeure: Events excusing performance

Common Preparation Errors to Avoid

  • Vague scope descriptions that omit exact quantities, colors, or materials leading to mismatched expectations and disputes between client and decorator.
  • Missing delivery or setup windows which results in scheduling conflicts with the venue and may cause extra charges or denied access.
  • Unclear cancellation and refund policies, especially around nonrefundable deposits, causing disagreement when events are postponed or canceled.
  • No insurance or certificate of insurance on file, leaving the venue or client exposed to third-party claims or property damage costs.

Core Clauses Every Event Decorators Agreement Should Include

Include clear, actionable clauses that define services, schedule, payment, responsibilities, risk allocation, and remedies to reduce disputes and support enforcement.

Scope of Work

Describe exact services, quantities, materials, and any exclusions; attach itemized exhibits or proposals to prevent ambiguity and support acceptance testing.

Payment Schedule

Specify deposit percentage, payment milestones, final balance due date, accepted payment methods, and late fee calculation to clarify cash flow expectations.

Cancellation Policy

Define refundable versus nonrefundable amounts, timelines for notice, and any procedures for rescheduling to limit disputes over refunds.

Insurance and Indemnity

Require proof of liability insurance limits, name additional insureds when needed, and define indemnity scope for third-party claims or property damage.

Delivery and Setup

Set load-in times, access points, staging requirements, and teardown schedules; require advance site approvals for any structural or electrical changes.

Liability Cap

Consider a monetary cap tied to fees or insurance limits and exclusions for consequential damages to manage financial exposure.
