Either party may terminate this engagement for material breach if the breaching party fails to cure within days after written notice. Termination shall not relieve Client of obligation to pay for services performed and reasonable costs incurred prior to termination.

Confidentiality

The Evaluator and Client each agree that Confidential Information disclosed in connection with this evaluation shall be used solely for the purpose of preparing the Event Evaluation Report and shall not be disclosed to third parties without prior written consent, except as required by law. Confidential Information excludes information that (i) is or becomes publicly available other than by breach of this Agreement, (ii) was rightfully in the receiving party's possession prior to disclosure, or (iii) is independently developed without use of the disclosing party's Confidential Information. The parties shall take commercially reasonable measures to protect such information for a period of two (2) years following delivery of the final report.

Governing Law; Entire Agreement

This Event Evaluation Report and any accompanying engagement terms shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

This document, together with any written engagement terms incorporated by reference, constitutes the entire agreement between the parties concerning the evaluation services and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof. No amendment shall be effective unless in writing and signed by both parties.
