Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach if the breaching party fails to cure the breach within days after receipt of written notice specifying the breach.

Termination shall not relieve Organizer of the obligation to pay for services performed prior to termination. Service Provider shall deliver final invoices within days of termination.

Confidentiality

Definition: "Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or that should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure, including but not limited to financial terms, marketing plans, proprietary technical information, and attendee personal data.

Obligations: The receiving party shall (i) hold Confidential Information in strict confidence, (ii) not use Confidential Information except to perform its obligations under this Agreement, and (iii) not disclose Confidential Information to any third party except to its employees, contractors or advisors on a need-to-know basis who are bound by confidentiality obligations at least as restrictive as those herein.

Exceptions: Confidential Information does not include information that is (a) publicly known through no wrongful act of the receiving party, (b) rightfully received from a third party without restriction, (c) independently developed by the receiving party without use of the other party's Confidential Information, or (d) required to be disclosed by law or court order, provided prompt notice is given and disclosure is limited to the extent required.

Insurance and Indemnification

Insurance: Service Provider shall maintain commercial general liability insurance and, where applicable, workers' compensation and automobile liability insurance with limits sufficient for the size and risk of the event and provide certificates of insurance upon request.

Indemnification: Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any third-party claims, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence, willful misconduct or breach of this Agreement.

Governing Law; Dispute Resolution

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Disputes: The parties shall attempt to resolve disputes by good faith negotiation. If unresolved, disputes shall be resolved by binding arbitration in the chosen jurisdiction, or as otherwise mutually agreed, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

Entire Agreement; Amendments

Integration: This Agreement, including all Schedules and Exhibits attached hereto (if any), constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.

Amendments: No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.
