WHEREAS

WHEREAS, Organizer desires to engage Game Master to provide event facilitation, gaming moderation and related services for the Event described above; and

WHEREAS, Game Master represents that Game Master has the necessary experience, qualifications, materials and personnel to perform the Scope of Work and is willing to provide such services under the terms set forth in this Invitation and Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Either party may terminate this Agreement without cause upon written notice to the other party at least days prior to the effective termination date. Termination for material breach is effective immediately upon written notice if the breaching party fails to cure within 10 days of receipt of notice.

Confidentiality

The parties acknowledge that Organizer may disclose proprietary event details, attendee lists, promotional strategies and other Confidential Information. Game Master shall maintain all Confidential Information in strict confidence, shall not disclose such information to any third party without prior written consent of Organizer, and shall use Confidential Information solely for performance under this Agreement. Confidentiality obligations shall survive termination for a period of two (2) years.

Independent Contractor; Insurance; Indemnification

Game Master is an independent contractor and not an employee, partner or agent of Organizer. Game Master is responsible for all taxes and withholdings arising from fees paid hereunder. Game Master shall maintain general liability insurance sufficient for the services provided and shall provide proof of insurance upon request.

Each party shall indemnify and hold harmless the other party from and against any claims, liabilities, losses or expenses arising out of the indemnifying party's negligence or willful misconduct in connection with performance under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

Entire Agreement

This document, together with any written attachments executed by the parties, constitutes the entire agreement between Organizer and Game Master with respect to the subject matter hereof and supersedes all prior oral or written agreements, proposals or understandings. Any modification to this Agreement must be in writing and signed by both parties.
