WHEREAS

WHEREAS, Host operates or controls the venue and services necessary for the presentation of live events and has agreed to provide certain facilities, personnel, and related event management services described herein; and

WHEREAS, Organizer desires to engage Host to host and operate the Event described below on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows:

Host shall provide the services and facilities described below. Organizer shall be responsible for items specifically identified as Organizer obligations. The parties agree that the following constitutes the full scope of Host's responsibilities for the Event:

Payment Terms

All payments shall be due as set forth above. Failure to make any payment when due shall entitle Host to suspend services, retain the deposit, and/or recover reasonable attorneys' fees and collection costs in addition to any late fees specified.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above following receipt of written notice. Termination for convenience by Organizer is permitted only upon payment of all amounts due through the effective termination date and any reasonable cancellation fees expressly set forth in this Agreement.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information excludes information that: (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) is lawfully received from a third party without restriction; or (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall not use Confidential Information except to perform its obligations under this Agreement and shall take reasonable measures to protect such Confidential Information for a period of years following termination.

Indemnification and Insurance

Organizer shall defend, indemnify, and hold Host and its officers, agents, and employees harmless from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of Organizer's negligence, willful misconduct, or breach of this Agreement. Host shall maintain commercial general liability insurance and shall provide proof of such insurance upon Organizer's reasonable request.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This Agreement, including all schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether oral or written. No amendment or modification of this Agreement shall be binding unless in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. Neither party may assign its rights under this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger or sale of substantially all assets.
