EVENT HOST GUIDELINES

This Event Host Guidelines (the "Guidelines") is entered into as of Date: by and between Host Name: ("Host") and Organizer Name: ("Organizer"). The Host and Organizer are jointly referred to as the "Parties."

WHEREAS

WHEREAS, the Organizer proposes to conduct an event and requires the Host to provide venue, management, and staffing services in accordance with these Guidelines; and

WHEREAS, the Host has expertise, facilities, and personnel necessary to host the event in a safe and lawful manner subject to the terms set forth herein; and

WHEREAS, the Parties desire to document operational responsibilities, safety, compliance, and payment terms applicable to the hosting of the event.

SCOPE OF WORK

The Host agrees to provide venue management, on-site coordination, facilities access, and staff as described below. The Host's obligations shall be limited to those duties expressly described and reasonable tasks customarily incident to hosting an event of similar size and nature.

EVENT DETAILS

PAYMENT TERMS

The Organizer shall pay the Host for hosting services according to the schedule below. All fees are exclusive of taxes unless otherwise stated. Invoices shall be paid in the currency specified on the invoice.

TERM AND TERMINATION

This Guidelines shall commence on the Start Date and shall terminate on the End Date, unless earlier terminated in accordance with this Section. Either Party may terminate for material breach if the breaching Party fails to cure within the notice period specified below.

INSURANCE, PERMITS & OPERATIONAL REQUIREMENTS

The Organizer shall obtain and maintain all permits, licenses, approvals and insurance required by applicable law and the Host's venue policies. The Organizer shall provide certificates of insurance and copies of permits to the Host at least the number of days indicated below prior to the Event Date.

The Organizer confirms the following items have been arranged (check applicable):

Permits and licenses obtained

General liability insurance provided with Host named as additional insured

Security personnel and crowd control measures arranged

Alcohol service permit obtained (if applicable)

Post-event cleanup and restoration plan on file

CONFIDENTIALITY

Each Party shall treat as confidential all non-public business information disclosed by the other Party in connection with the Event. Confidential information shall not include information that is publicly available through no fault of the receiving Party, independently developed, or required to be disclosed by law. The receiving Party shall protect confidential information with at least the same degree of care it uses to protect its own confidential information, but no less than a reasonable degree of care.

INDEMNIFICATION AND LIABILITY

The Organizer shall indemnify, defend, and hold harmless the Host and its agents against any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising out of the Organizer's negligence, willful misconduct, breach of these Guidelines, or the acts or omissions of attendees. The Host's liability for any claim arising under or related to these Guidelines shall be limited to direct damages not to exceed the total fees paid to the Host for the Event; in no event shall either Party be liable for indirect, incidental, special or consequential damages.

COMPLIANCE WITH LAWS AND RULES

Each Party shall comply with all applicable federal, state, and local laws, regulations, and venue rules. The Organizer is responsible for ensuring that all vendors, performers, and contractors engaged for the Event comply with these Guidelines and applicable law.

GOVERNING LAW

This Guidelines shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles.

ENTIRE AGREEMENT

These Guidelines constitute the entire agreement between the Parties with respect to the subject matter hereof and supersede all prior and contemporaneous negotiations, agreements, proposals, and communications, whether written or oral. Any amendment must be in writing and signed by both Parties.

ADDITIONAL NOTICES

Notices required under these Guidelines shall be in writing and delivered to the address provided by each Party. Each Party shall promptly notify the other of any event or condition that may materially affect performance under these Guidelines.

The Parties acknowledge that they have read and understand these Guidelines and agree to perform their obligations in good faith.
