EVENT HOSTING AGREEMENT

This Event Hosting Agreement (the "Agreement") is entered into as of between Host Name: , located at Host Address: (\"Host\"), and Client Name: , located at Client Address: (\"Client\").

RECITALS

WHEREAS, Host operates and controls the venue and facilities described as Venue Name: located at Venue Address: , and is willing to provide event hosting services for Client under the terms set forth in this Agreement.

WHEREAS, Client desires to host the event identified as Event Name: on Event Date: at the Host's venue, and Host is willing to provide the venue and related services in accordance with the terms and conditions contained herein.

WHEREAS, the parties intend for this Agreement to set forth their entire understanding regarding the hosting, operation, and financial arrangements for the Event.

PAYMENT TERMS

Late Payment: If any undisputed payment is not received within days after the due date, interest shall accrue at or the maximum rate permitted by law, whichever is lower. Client shall be responsible for reasonable collection costs and attorney fees incurred by Host to recover unpaid amounts.

TERM AND TERMINATION

Term Commencement: This Agreement commences on Start Date: and, unless earlier terminated, expires on End Date: . For single-event engagements, the Agreement terminates automatically upon completion of all services and final payment.

Termination for Convenience: Either party may terminate this Agreement without cause by providing written notice to the other party at least days prior to the intended termination date. Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within 10 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that in connection with this Agreement it may receive confidential, proprietary, or trade secret information of the other party ("Confidential Information"). Both parties agree to hold Confidential Information in strict confidence, to use such information solely for performance under this Agreement, and not to disclose it to any third party except to employees, agents, or contractors who have a need to know and are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that is (a) already in the public domain through no fault of the receiving party, (b) rightfully received from a third party without restriction, or (c) independently developed by the receiving party without use of Confidential Information.

INSURANCE, INDEMNIFICATION, AND LIABILITY

Insurance: Host and Client shall each maintain, at their own expense, commercial general liability insurance with limits reasonably acceptable to the other party. Upon request, each party shall furnish the other with certificates of insurance evidencing such coverage.

Indemnification: Client shall indemnify, defend and hold harmless Host and its officers, employees and agents from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Client's negligence, willful misconduct, or breach of this Agreement, including claims by attendees or third parties. Host shall indemnify Client for claims arising from Host's negligence or willful misconduct.

Limitation of Liability: Except for liability arising from gross negligence, willful misconduct, or indemnification obligations, neither party shall be liable to the other for incidental, consequential, punitive or special damages, and each party's aggregate liability shall be limited to the amounts actually paid under this Agreement.

FORCE MAJEURE

Neither party shall be liable for failure to perform obligations under this Agreement to the extent such failure is caused by events beyond its reasonable control, including acts of God, natural disasters, strikes, acts of government, or public health emergencies. The affected party shall notify the other promptly and make reasonable efforts to resume performance.

GOVERNING LAW; ENTIRE AGREEMENT; AMENDMENT

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement: This Agreement, including all attachments and confirmed schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

Amendment: No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that Host may assign to an affiliate or successor in connection with a sale of substantially all of its assets.

Relationship of Parties: The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between the parties.
