EVENT INVITATION AND ENGAGEMENT AGREEMENT

WHEREAS, Host has identified, planned and will coordinate the Event described in this Agreement and invites Recipient to attend and/or engage Host's services in connection with the Event; and

WHEREAS, Recipient desires to accept the invitation and, where applicable, enter into this Agreement for the provision of services, facilities, or items described below on the terms set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, Host and Recipient agree as follows.

Scope of Work

Describe the services, amenities and deliverables to be provided by Host in connection with the Event. This scope shall form an integral part of this Agreement and may include but is not limited to: venue coordination, catering, audiovisual services, security, setup/teardown, and staffing.

Payment Terms

Late Payment: Interest shall accrue on any undisputed overdue amount at the rate of or the maximum permitted by applicable law, whichever is less. Recipient shall also be responsible for reasonable collection costs and attorney fees incurred by Host in enforcing payment.

Termination by Notice: Either party may terminate this Agreement without cause by delivering written notice to the other party at least prior to the effective termination date. Termination for cause may be immediate where a material breach remains uncured for more than after written notice of breach.

Cancellation by Recipient within of the Event Date shall be subject to a cancellation fee equal to of the Total Fee unless otherwise agreed in writing.

Confidentiality

Each party shall treat as confidential and shall not disclose to any third party any non-public information provided by the other party in connection with the Event, including attendee lists, pricing, technical specifications and business terms ("Confidential Information"), except as required by law. Confidential Information does not include information that: (a) is or becomes public without breach of this Agreement; (b) was known to the receiving party without restriction prior to disclosure; or (c) is rightfully obtained from a third party without breach of an obligation of confidentiality. The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Liability and Insurance

Each party agrees to maintain adequate insurance coverage customary for its activities under this Agreement. Host's liability for any claim arising from or related to this Agreement shall be limited to direct damages not to exceed the Total Fee paid by Recipient. Neither party shall be liable for consequential, incidental, punitive or exemplary damages, except for liability arising from gross negligence or willful misconduct.

Governing Law; Entire Agreement

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction where the Host's principal place of business is located, without regard to conflict of laws principles.

Entire Agreement: This Agreement, together with any written attachments or schedules signed by both parties, constitutes the entire agreement between the parties regarding the Event and supersedes all prior negotiations, proposals, representations and agreements, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

Acceptance and Binding Effect

This invitation and the terms set forth herein will become a binding agreement upon signature by both parties below or upon Recipient's written acceptance by the RSVP method described above, and shall be enforceable according to its terms.
