Either party may terminate this Agreement for material breach after providing written notice and a cure period of days. Termination by Host without cause prior to the event date shall not relieve Host of payment obligations for work already performed or non-refundable costs incurred by Service Provider.

Confidentiality

Each party shall treat as confidential all non-public information received from the other party in connection with this event and shall not disclose such information except as required by law or with the prior written consent of the disclosing party. Confidential information does not include information which is or becomes publicly available through no fault of the receiving party.

Liability and Insurance (Summary)

Service Provider shall maintain at its expense commercially reasonable liability insurance covering its activities for the event. To the extent permitted by law, each party waives claims against the other for incidental damages except in the case of willful misconduct or gross negligence.

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties agree that any dispute arising under this Agreement will be subject to mediation before either party may commence litigation.

Entire Agreement

This Invitation and Agreement, including any attachments and scopes of work executed by the parties, constitutes the entire agreement between the parties with respect to the event and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendment must be in writing and signed by both parties.
