EVENT KONGRESS AGREEMENT

This Event Kongress Agreement ("Agreement") is entered into by and between Client Name: with principal address: , and Event Organizer: with principal address: .

RECITALS

WHEREAS, Client intends to host a congress-style event described as: Event Title: to occur on Event Dates: at Venue: ; and

WHEREAS, Organizer possesses the personnel, equipment and expertise to provide planning, logistics, and on-site management services for the Event and is willing to provide such services to Client under the terms set forth in this Agreement.

SCOPE OF WORK

Organizer shall provide event management services including, but not limited to, program coordination, speaker liaison, on-site registration, audiovisual coordination, venue logistics, vendor management, attendee communications and such other services as set forth below. The specific services, deliverables, and milestones are described in detail:

PAYMENT TERMS

In consideration for Organizer's services, Client shall pay Organizer the fees set forth below. All fees are exclusive of applicable taxes unless otherwise stated, and Client is responsible for any taxes required by law.

Organizer shall invoice Client in accordance with the payment schedule above. If Client fails to pay any undisputed invoice within ten (10) days after the due date, Organizer may suspend performance until payment is received. Interest on overdue amounts shall accrue at the rate set forth in the Late Payment Fee above and shall be in addition to any other remedies available at law or equity.

TERM AND TERMINATION

This Agreement commences on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the effective date of termination. Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of thirty (30) days following receipt of written notice specifying the breach.

Upon termination, Client shall pay Organizer for all services performed and non-cancelable commitments made through the effective date of termination, including any applicable termination fees set forth in the scope of work or an attached schedule of rates.

CONFIDENTIALITY

Each party (the "Receiving Party") acknowledges that in connection with performance under this Agreement it may receive or have access to information that is proprietary or confidential ("Confidential Information") of the other party (the "Disclosing Party"). Confidential Information includes, but is not limited to, attendee lists, pricing, marketing plans, speaker agreements, technical specifications and any non-public business information.

The Receiving Party shall (a) use Confidential Information solely for the purposes of performing its obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, agents or subcontractors who have a legitimate need to know and who are bound by confidentiality obligations no less restrictive than those in this Agreement. The obligations in this Section shall not apply to information that: (i) is or becomes generally available to the public through no fault of the Receiving Party; (ii) is rightfully received from a third party without restriction; (iii) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (iv) is required to be disclosed by law, provided that the Receiving Party gives prompt written notice to the Disclosing Party to permit the Disclosing Party to seek protective relief.

INSURANCE AND RISK ALLOCATION

Organizer shall maintain commercial general liability insurance and such other coverages as are customary for event management services. Client shall maintain event liability coverage where required by the venue or governmental authority. Each party's liability to the other arising from or related to this Agreement shall be limited to direct damages up to the total fees paid to Organizer under this Agreement; neither party shall be liable for consequential, incidental or punitive damages except to the extent finally adjudicated for willful misconduct or gross negligence.

FORCE MAJEURE

Neither party shall be liable for failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, governmental action, epidemic, natural disaster, labor dispute, or failure of suppliers. The affected party shall promptly notify the other party and use commercially reasonable efforts to mitigate the effect of such event.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties agree to attempt in good faith to resolve any dispute arising under this Agreement through negotiation. If negotiation fails, the parties shall submit the dispute to mediation prior to pursuing litigation. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief to protect its Confidential Information.

ENTIRE AGREEMENT

This Agreement, together with any appendices, exhibits, and written statements of work signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings and communications, whether oral or written. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by an authorized representative of each party.
