RECITALS

WHEREAS, Client desires professional lighting design, equipment provision, installation, operation and strike services for an event to be held at the event location on the event date; Event Date: ; Location: ; and

WHEREAS, Provider represents that it possesses the skill, experience, equipment, and insurance necessary to perform professional event lighting services; and

WHEREAS, the parties desire to set forth the terms and conditions governing Provider's performance and Client's payment.

SCOPE OF WORK

Provider shall perform the lighting services described below. Provider shall supply qualified personnel and equipment, coordinate with venue staff, comply with venue rules, obtain required permits, and leave the site in a clean condition. Specific deliverables, hours of operation, load-in/load-out times, and technical specifications are set forth in the description below.

PAYMENT TERMS

Client shall pay Provider the total fee set forth below in exchange for the services and equipment described above. Unless otherwise stated, amounts are in U.S. dollars.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the rate of % per month (or the maximum lawful rate if lower). Client shall also be responsible for reasonable collection costs, including attorneys' fees.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after receiving written notice. If Client cancels within 30 days of the event date, Client remains responsible for reasonable cancellation charges, including nonrefundable deposits and costs incurred by Provider.

CONFIDENTIALITY

The parties acknowledge that in the performance of this Agreement they may receive Confidential Information of the other party. "Confidential Information" includes nonpublic technical, commercial, pricing, personnel and event-related information. Each party shall hold Confidential Information in strict confidence, not use it except as necessary to perform this Agreement, and not disclose it to third parties except to employees, contractors, insurers or advisors who need to know and are bound by confidentiality obligations at least as restrictive as this clause. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years.

Acknowledgement of Confidentiality: Client and Provider acknowledge and agree to the confidentiality obligations above.

INSURANCE, INDEMNITY AND LIABILITY

Provider shall maintain commercial general liability insurance, workers' compensation, and any other insurance required by law or venue. Provider shall provide certificates of insurance upon request. Provider shall indemnify and hold Client harmless from claims arising from Provider's negligent acts or omissions, except to the extent arising from Client's negligence.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved first by good faith negotiation between the parties. If unresolved, the dispute may be submitted to binding arbitration in the specified jurisdiction, or, alternatively, either party may seek injunctive relief.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any attachments, schedules and statements of work expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, negotiations and agreements. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest to substantially all of its business. Force Majeure: Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including acts of God, strikes, acts of government or failure of suppliers.
