Event Management Stage Manager Agreement

WHEREAS

WHEREAS, Client is producing or presenting an event identified as Event Name: to be held at Venue: on Event Date(s): .

WHEREAS, Client desires to retain Stage Manager to coordinate stage management, technical crew liaison, run-of-show supervision, and related services for the Event; and Stage Manager represents that Stage Manager has the skill, experience, and personnel to perform such services in a professional manner.

SCOPE OF WORK

Stage Manager shall provide stage management and event management services as set forth below. Services shall include but are not limited to coordination of load-in and load-out, cueing performers, supervising stagehands, maintaining the run-of-show, liaising with technical contractors, preparing and distributing stage plots and schedules, and addressing safety and incident reporting.

PAYMENT TERMS

Total Compensation: USD . A deposit in the amount of USD is payable upon execution of this Agreement to secure Stage Manager's services.

Late Payment: Any undisputed past-due amount shall incur a late fee of on the outstanding balance for each month or portion thereof until paid in full. Client agrees to reimburse Stage Manager for reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

Term Conclusion: Month Day Year . Either party may terminate this Agreement for material breach if the breach remains uncured for days after written notice. Client may terminate for convenience with written notice of days, subject to payment for services performed through the effective date of termination and reasonable wind-down costs.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public business, technical, creative, or financial information disclosed by one party to the other that is designated confidential or would reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligation: Receiving party shall hold Confidential Information in strict confidence, shall not disclose it to third parties except as required to perform under this Agreement, and shall use Confidential Information solely to perform its obligations. The obligations in this Section shall not apply to information that (i) is or becomes publicly known through no breach by receiving party; (ii) is rightfully received from a third party without restriction; (iii) is independently developed by receiving party without use of Confidential Information; or (iv) is required to be disclosed by law, provided receiving party gives prompt notice and cooperates with disclosing party to seek protective measures.

Duration: Confidentiality obligations shall survive termination or expiration of this Agreement for a period of years.

ADDITIONAL PROVISIONS

Independent Contractor: Stage Manager is engaged as an independent contractor. Nothing in this Agreement creates an employment, partnership, agency, or joint venture relationship. Stage Manager is responsible for all taxes, withholdings, and insurance applicable to its personnel.

Insurance and Indemnity: Stage Manager shall maintain general liability insurance and, where applicable, workers' compensation as required by law, with limits acceptable to Client. Each party shall defend, indemnify, and hold harmless the other from third-party claims arising out of its negligence or willful misconduct in performance of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to choice-of-law principles. Any dispute arising under this Agreement shall be resolved in the courts of that state or by binding arbitration if the parties mutually agree in writing.

ENTIRE AGREEMENT

This Agreement, including any attached schedules or exhibits signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. Any amendment must be in writing and signed by both parties.
