EVENT MARKETING AGREEMENT

This Event Marketing Agreement (the "Agreement") is entered into as of Effective Date: by and between Client Name: with Address: and Marketing Agency Name: with Address: .

WHEREAS

WHEREAS, Client intends to host or participate in an event described as Event Name: to occur on Event Date: ; and

WHEREAS, Agency has expertise in marketing, promotion, audience engagement, and related services, and Client desires to retain Agency to perform event marketing services under the terms set forth herein.

SCOPE OF WORK

Agency will provide the marketing services and deliverables described below. Deliverables include strategic planning, creative materials, digital promotion, press outreach, on-site activation, and reporting as further specified in the Scope of Work.





PAYMENT TERMS

Client shall pay Agency the fees set forth below in consideration for the Services. All amounts are stated in U.S. dollars and exclusive of sales, use or other taxes for which Client is responsible.

Any undisputed amount not paid within the Payment Terms shall accrue interest at the rate of (or the maximum permitted by law, if less). Agency may suspend performance for nonpayment after ten (10) days' written notice.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within thirty (30) days after written notice. Termination shall not relieve Client of its obligation to pay for Services performed and costs incurred prior to termination, including non-cancellable obligations.

CONFIDENTIALITY

During the Term and for a period of following termination, each party shall maintain the confidentiality of the other party's Confidential Information and shall not disclose such information except to employees, contractors or advisors who have a need to know and who are bound to maintain confidentiality at least as protective as this Agreement. Confidential Information includes non-public financial terms, audience data, creative concepts, and other proprietary material disclosed in connection with this Agreement, but excludes information that is or becomes publicly available through no fault of the receiving party, rightfully received from a third party, or independently developed.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Agency grants Client a non-exclusive, non-transferable license to use final deliverables solely for the Event and related promotional activities described in this Agreement. Agency retains ownership of Agency's pre-existing materials, methodologies and goodwill. Client shall not reproduce, alter, or create derivative works of Agency's pre-existing materials without Agency's prior written consent.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party agrees to indemnify and hold harmless the other party from third-party claims arising from the indemnifying party's gross negligence or willful misconduct. EXCEPT FOR LIABILITY ARISING FROM A BREACH OF CONFIDENTIALITY OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, AND THE AGGREGATE LIABILITY OF EITHER PARTY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE BY CLIENT TO AGENCY UNDER THIS AGREEMENT.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law rules. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in that State, and the parties submit to the exclusive jurisdiction of such courts.

ENTIRE AGREEMENT

This Agreement, including any attachments or exhibits executed contemporaneously, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings and agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.
