Event Mini Session Agreement

THIS EVENT MINI SESSION AGREEMENT (the Agreement) is entered into by and between the parties identified below as of the Effective Date. WHEREAS, Service Provider is engaged in the business of providing photographic and related services; and WHEREAS, Client desires to retain Service Provider to perform a limited event mini session under the terms set forth herein. NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

WHEREAS, Client desires a concise photographic mini session at a specified event location for a limited duration; and

WHEREAS, Service Provider has represented that it possesses the skill, personnel, and equipment necessary to perform the services described in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which such services will be provided.

Scope of Work

Service Provider will perform a mini session at the Event Location for the time period agreed above and will provide the deliverables described below. The parties may modify the specific shots and locations during the session by mutual agreement, provided such changes do not materially increase the scope or time of the session.

Payment Terms

Client shall pay Service Provider the total amount set forth below in exchange for the services and deliverables under this Agreement. Payment obligations are unconditional and not subject to setoff.

Balance Due Date:

Late Fee: If any undisputed payment is not received by the Balance Due Date, a late fee of will accrue and interest shall accrue at the lesser of 1.5% per month or the maximum allowed by law until paid.

Cancellation and Rescheduling

If Client cancels the session more than days prior to the Event Date, the deposit will be refunded minus any non-recoverable costs. If cancellation occurs within days of the Event Date, the deposit is non-refundable and additional cancellation fees may apply up to % of the Total Fee.

Rescheduling requested by Client within days of the Event Date may be subject to a rescheduling fee of and is subject to Service Provider availability.

Intellectual Property and Usage

Service Provider retains all copyrights in the images captured during the session. Subject to full payment of all amounts due under this Agreement, Service Provider grants Client a non-exclusive, non-transferable license to use the delivered digital images for personal, non-commercial use. Any commercial use, resale, or licensing of the images requires a separate written license and additional fees.

Client represents and warrants that Client has authority to permit use of locations and persons appearing in the images, and grants Service Provider a limited license to use selected images for Service Provider’s promotional purposes, unless Client opts out in writing prior to the session.

Confidentiality

Each party shall keep confidential and not disclose to any third party any non-public information received from the other party in connection with this Agreement, including business terms and pricing, except as required by law or with the disclosing party’s express written consent. This obligation shall survive termination of this Agreement for a period of two (2) years.

Term; Termination

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with this section. Either party may terminate for material breach by the other party if such breach is not cured within days after written notice. Upon termination, Client shall pay for all services performed and non‑cancelable costs incurred through the effective date of termination.

Limitation of Liability

Except for liability arising from gross negligence or willful misconduct, Service Provider’s aggregate liability for any claim arising from this Agreement shall not exceed the fees actually paid by Client to Service Provider under this Agreement. Service Provider is not liable for lost or corrupted images due to factors outside Service Provider’s reasonable control; Client is strongly encouraged to obtain backups of delivered files.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. The parties shall attempt to resolve disputes in good faith through negotiation; if unresolved, disputes shall be resolved in a court of competent jurisdiction in the governing state.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings. Any modification or waiver must be in writing and signed by both parties.

Acknowledgment

Client acknowledges that Client has read this Agreement, understands its terms, and agrees to be bound by them. Client further acknowledges receipt of any applicable booking policies and pricing disclosures delivered prior to execution.
