EVENT MUSIC AGREEMENT

PAYMENT TERMS

Late payments shall incur a late fee equal to on outstanding amounts, prorated daily until paid in full. Client is responsible for any collection costs and attorney fees incurred to collect overdue amounts.

TERM AND TERMINATION

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within Notice Period: after receipt of written notice. CONFIDENTIALITY

Each party agrees that all non-public information disclosed by the other party in connection with the negotiation and performance of this Agreement, including technical riders, pricing, and business terms, is Confidential Information and will not be disclosed to third parties without prior written consent, except as required by law. Confidential Information does not include information that is or becomes public through no fault of the receiving party or information lawfully received from a third party without restriction.

FORCE MAJEURE

Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including acts of God, government restrictions, public health emergencies, strikes, or other force majeure events. The affected party shall promptly notify the other party and use reasonable efforts to reschedule the performance. If rescheduling is not possible within a reasonable period, the parties shall negotiate a fair settlement of amounts paid and due.

INDEMNIFICATION & INSURANCE

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, damages or liabilities arising out of the indemnifying party's negligence or willful misconduct in connection with this Agreement. The Client shall maintain general liability insurance for the Event venue and naming the Performer as additional insured where reasonably requested. Performer shall maintain appropriate liability insurance for performance activities.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State or jurisdiction of Governing Law State: without regard to principles of conflicts of law. Venue for any dispute shall be the courts located in that jurisdiction.

ENTIRE AGREEMENT

This Agreement, including any attachments and riders signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement will remain in full force and effect. Assignment: Neither party may assign its rights or delegate its duties without the prior written consent of the other party, except that the Performer may engage subcontractors for technical support with prior notice to Client.
