EVENT MUSIC FEST AGREEMENT

This Event Music Fest Agreement (the "Agreement") is entered into as of Effective Date: by and between Organizer Name: , and Performer/Contractor Name: .

WHEREAS, Performer is engaged to provide musical performance services and related services as set forth in this Agreement; and

SCOPE OF WORK

Performer shall provide musical performance services and related production support as described below. The Performer shall furnish personnel, musical performance, and such equipment as set forth in the Scope of Work and any attached rider. The Performer warrants that it will perform in a professional manner and in accordance with customary industry standards.

PAYMENT TERMS

As full compensation for the services described in this Agreement, Organizer shall pay Performer the Total Fee specified below in accordance with the payment schedule. All payments are due in United States dollars unless otherwise agreed in writing.

If Organizer fails to pay any undisputed amount when due, interest and any reasonable collection costs, including attorneys' fees, will accrue and be payable by Organizer.

TERM AND TERMINATION

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within Notice Period (days): days after written notice specifying the breach. Organizer may terminate without cause upon written notice to Performer, subject to payment obligations for services performed and non-cancellable commitments.

CANCELLATION; FORCE MAJEURE

If the Event is cancelled by Organizer other than for Force Majeure, Organizer shall be responsible for payment of non-refundable deposits and any reasonable out-of-pocket costs incurred by Performer. Neither party shall be liable for failure to perform due to causes beyond its reasonable control, including acts of God, severe weather, government action, pandemics, or labor disputes; provided that the affected party promptly notifies the other and uses reasonable efforts to mitigate damages.

CONFIDENTIALITY

Each party shall hold in confidence all proprietary or confidential information disclosed by the other party in connection with this Agreement and shall not disclose such information to third parties except as required to perform obligations under this Agreement or as required by law. Confidential information does not include information that is publicly available through no breach of this Agreement.

Acknowledgement of Confidentiality:

INSURANCE; INDEMNIFICATION

Organizer shall maintain general liability insurance covering the Event and shall maintain coverage limits reasonably requested by Performer. Performer shall maintain appropriate liability insurance for its performance activities where required. Each party shall indemnify, defend, and hold harmless the other party from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of its negligence or willful misconduct in connection with this Agreement.

INTELLECTUAL PROPERTY & RECORDING

Performer retains copyright and other intellectual property rights in its original compositions and arrangements. Organizer shall have a limited license to use recorded material from the Event for promotional purposes only with Performer credit, unless otherwise agreed in writing. Any commercial exploitation of recordings shall require separate written agreement and compensation.

MISCELLANEOUS PROVISIONS

Relationship of Parties: Performer is an independent contractor and nothing herein creates an employment, partnership, or joint venture relationship. Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest to substantially all of its business. Severability: If any provision is held invalid, the remainder shall remain in effect. Remedies: The parties agree that monetary damages may be inadequate for certain breaches and that injunctive relief may be appropriate in addition to other remedies.

GOVERNING LAW; ENTIRE AGREEMENT

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of State: , without regard to conflict of laws principles.

Entire Agreement: This Agreement, including any attachments or riders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral.
