Recitals

WHEREAS, Promoter operates and produces a public music festival and related events known as "" to be held at on (the "Event");

WHEREAS, Artist is engaged in the provision of musical performance services and represents that Artist has the skill, experience, and personnel necessary to perform in connection with the Event; and

WHEREAS, Promoter desires to retain Artist and Artist agrees to perform under the terms and conditions set forth in this Agreement.

Scope of Work

Artist shall provide the musical performance and associated services described below, including any personnel, equipment, soundcheck, and load-in/out obligations necessary for Artist's performance. Specific obligations, set times, and technical requirements are as follows:

Payment Terms

Fee: Promoter shall pay Artist a total performance fee of $ , payable in accordance with the following schedule.

Late Payment: Any unpaid amount shall accrue interest at the rate of , or the maximum rate permitted by law, and Promoter shall be responsible for reasonable collection costs.

Taxes and Withholdings: Promoter shall not withhold taxes from the performance fee except as required by law; any required withholdings will be accounted for as required by applicable law and documented by the Parties.

Term and Termination

Term Commencement: This Agreement commences on and shall terminate on , subject to earlier termination as provided herein.

Termination for Cause: Either Party may terminate this Agreement upon written notice if the other Party materially breaches any obligation and fails to cure the breach within days after receipt of notice specifying the breach.

Termination for Convenience: Promoter may terminate for convenience by providing at least days' written notice; in such case, Promoter will pay Artist for services performed and non‑refundable expenses reasonably incurred prior to termination.

Confidentiality

Each Party shall keep strictly confidential all non-public information received from the other Party that is marked confidential or that, under the circumstances, ought reasonably to be considered confidential, including but not limited to technical riders, pricing, trade secrets, and proprietary materials ("Confidential Information"). Confidential Information shall not include information that is publicly available through no fault of the receiving Party or independently developed by the receiving Party without use of Confidential Information.

The receiving Party shall use Confidential Information solely for performance of this Agreement, shall restrict disclosure to employees and contractors with a need to know, and shall take reasonable measures to prevent unauthorized disclosure. Obligations of confidentiality survive termination for a period of two (2) years.

Insurance and Indemnification

Insurance: Promoter shall maintain commercial general liability insurance covering the Event with minimum limits of $1,000,000 per occurrence and shall name Artist as an additional insured where applicable. Artist shall maintain appropriate liability insurance covering Artist's operations. Upon request, each Party shall provide certificates of insurance evidencing the required coverage.

Indemnification: Each Party (the "Indemnitor") agrees to indemnify and hold harmless the other Party and its officers, directors, employees, agents, and contractors (the "Indemnitees") from and against any third‑party claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of the Indemnitor's breach of this Agreement, negligence, willful misconduct, or material violation of law, except to the extent caused by the gross negligence or willful misconduct of the Indemnitee.

Technical, Production and Access

Promoter will provide performance space, stage, security, crowd control, power, and production services described in the Scope of Work. Artist's technical rider, if any, must be provided no fewer than days prior to the Event. Promoter shall use commercially reasonable efforts to satisfy the rider; failure to meet material rider items shall entitle Artist to adjust performance or fees as appropriate.

Force Majeure

Neither Party shall be liable for failure or delay in performance due to acts beyond its reasonable control, including but not limited to acts of God, fire, flood, storm, epidemic or pandemic, governmental orders, strikes, or civil unrest. The affected Party shall provide prompt written notice and shall use reasonable efforts to resume performance. If performance is prevented for more than days, either Party may terminate this Agreement without further liability except for obligations accrued prior to termination.

Notices

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Except for injunctive relief or other equitable remedies, the Parties agree to submit any dispute to binding arbitration in the county where the Event takes place, pursuant to the rules of the chosen arbitration forum.

Entire Agreement

This Agreement, including any exhibits and written riders signed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral. No amendment shall be effective unless in writing and signed by both Parties.

Additional Provisions

Assignment: Neither Party may assign this Agreement or any rights hereunder without the prior written consent of the other Party, except that Promoter may assign to an affiliated event operator or purchaser of substantially all assets relating to the Event.

Publicity: Neither Party may use the other's trademarks, trade names, or logos in advertising or promotional materials without prior written consent, except that Promoter may list Artist's name in Event promotional materials in accordance with agreed billing and placement.
