EVENT MUSIC FESTIVAL CONTRACT

This Event Music Festival Contract (the Agreement) is entered into as of by and between Artist Name: and Organizer/Promoter Name: .

WHEREAS

WHEREAS, Organizer operates and produces an event known as the Event Music Festival (the Festival) to be held at the location specified herein, and desires to engage Artist to perform at the Festival; and

WHEREAS, Artist represents that Artist has the experience, ability and all necessary rights to perform the musical services described in this Agreement and is willing to provide such services subject to the terms and conditions set forth below.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

2. SCOPE OF WORK

Artist agrees to provide musical performance services as described below. Artist will arrive ready to perform at the scheduled call time and will comply with the Festival production schedule and reasonable directions of Organizer's production staff.

3. PAYMENT TERMS

Fee: Organizer shall pay Artist a total performance fee of $ payable according to the schedule below.

Any payment not received by the due date shall incur a late fee of of the overdue amount for each 30-day period, and Organizer shall be responsible for all reasonable collection costs and attorney fees incurred to enforce payment.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for a period of days after written notice. Organizer may terminate without cause by giving reasonable advance written notice and paying Artist any non-refundable deposit and any guaranteed minimum payments due under this Agreement.

5. CONFIDENTIALITY

Each party shall keep confidential all non-public business information disclosed by the other party relating to this Agreement, including but not limited to fees, proprietary rider information, and internal production plans, and shall not disclose such information except to its employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations no less restrictive than those contained herein. This obligation shall survive termination of this Agreement for a period of three (3) years.

6. REPRESENTATIONS, WARRANTIES AND INDEMNITY

Artist represents and warrants that Artist has the full right and authority to enter into this Agreement and to grant Organizer the rights necessary for performance. Each party agrees to indemnify, defend and hold harmless the other party from any claims, liabilities or expenses arising from its breach of this Agreement, negligence or willful misconduct.

7. INSURANCE AND SAFETY

Organizer shall maintain in full force general liability insurance covering the Festival. Artist is responsible for the safekeeping of Artist's personal property and equipment. Organizer may require proof of insurance from Artist where Artist's rider or the nature of the performance reasonably warrants such coverage.

8. FORCE MAJEURE

Neither party shall be liable for failure to perform its obligations where such failure is due to causes beyond its reasonable control, including but not limited to acts of God, acts of government, strikes, pandemics, or inability to secure permits. In the event of a force majeure cancellation, the parties shall negotiate in good faith a fair allocation of sums previously paid and costs reasonably incurred.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice-of-law rules.

10. ENTIRE AGREEMENT

This Agreement, including any incorporated riders and schedules, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior negotiations, proposals, representations, understandings and agreements, whether written or oral. Any modification of this Agreement must be in writing and signed by both parties.
