Confidentiality obligations shall survive termination for a period of three (3) years, except for information that becomes public through no fault of the receiving party.

GOVERNING LAW

This Report and any dispute arising out of or related to it shall be governed by the laws of the state of , without regard to its conflicts of law principles. Venue for any action shall be the state or federal courts located in that jurisdiction.

ENTIRE AGREEMENT
