WHEREAS, the parties intend this Event Notification Form to also operate as a binding agreement for services, payment, and obligations where indicated herein.

Scope of Work

Payment Terms

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after written notice. For convenience, either party may terminate with days' prior written notice.

Insurance, Indemnity and Compliance

Organizer shall maintain and provide, upon request, a certificate of insurance naming Recipient as an additional insured where required. Organizer agrees to indemnify and hold harmless Recipient and its agents from and against any claims arising out of Organizer's acts or omissions in connection with the event, except to the extent caused by Recipient's gross negligence or willful misconduct.

Confidentiality

Each party shall treat as confidential and shall not disclose to third parties any nonpublic information obtained from the other party in connection with the event, including pricing, security plans, and vendor lists, except (i) with prior written consent, (ii) as required by law, or (iii) to the extent such information becomes public other than through a breach of this Agreement.

Governing Law: The validity, interpretation, and performance of this Agreement shall be governed by the laws of the state of , without regard to conflict of law rules.
