Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party.

INSURANCE & COMPLIANCE

CANCELLATION & FORCE MAJEURE

Cancellation by Client less than days prior to the event shall result in forfeiture of the deposit and may require payment of additional cancellation fees to cover Vendor's unrecoverable costs. If cancellation is due to a force majeure event (including acts of God, government actions, natural disasters, pandemics, labour disputes), neither party shall be liable for failure to perform to the extent caused by such event; reasonable efforts to reschedule will be made.

GOVERNING LAW

This Event Order Form shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law provisions.

ENTIRE AGREEMENT
