Either party may terminate this Agreement for material breach by the other party if the breach is not cured within days after written notice. Organizer may cancel the outing for safety or operational reasons; refund and rescheduling policies are described in the Cancellation Policy below.

Confidentiality

Each party agrees to keep confidential and not disclose to any third party any non-public information provided by the other party in connection with this Agreement, except as required by law or as necessary to perform duties under this Agreement. Confidential information does not include information that is or becomes publicly available without breach of this Agreement.

Waiver, Release and Assumption of Risk

Participant acknowledges that attendance and participation in the outing involve inherent risks. Participant voluntarily accepts and assumes all such risks and releases Organizer, its agents, employees, volunteers, and affiliates from any and all liability, claims, demands, or causes of action for injury, death, loss, or damage arising out of participation, except where caused by Organizer's gross negligence or willful misconduct. This release is intended to be as broad and inclusive as permitted by law.

Organizer will provide a full refund if Organizer cancels the outing for reasons other than Participant breach, except to the extent non-refundable third-party costs have been incurred.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below. Any dispute arising under or relating to this Agreement shall be resolved by binding arbitration unless the parties mutually agree otherwise.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.
