RECITALS

WHEREAS, Applicant Name: (hereinafter "Applicant") has applied to the Authorizing Agency to conduct a parade, procession or public assembly on public streets and rights-of-way within the jurisdiction; and

WHEREAS, the Authorizing Agency has authority to regulate the use of public streets, ensure public safety, and impose conditions to protect public welfare; and

WHEREAS, the parties desire to set forth the terms, conditions and obligations of Applicant and the Authorizing Agency with respect to the proposed event described below.

Either party may terminate this Permit for cause upon written notice. For non-emergency termination by the Authorizing Agency, Applicant shall be provided not less than days' written notice. The Authorizing Agency reserves the right to suspend or revoke the Permit immediately where public safety or welfare is at risk.

INSURANCE AND INDEMNIFICATION

Insurance Required: Applicant shall procure and maintain commercial general liability insurance with limits of not less than $ per occurrence, naming the Authorizing Agency as additional insured where required. A certificate of insurance evidencing coverage must be provided prior to permit issuance.

Indemnification: To the fullest extent permitted by law, Applicant shall indemnify, defend and hold harmless the Authorizing Agency, its officials, officers, employees and agents from and against any and all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of or related to Applicant's activities under this Permit, except to the extent caused by the negligence or willful misconduct of the Authorizing Agency.

PUBLIC SAFETY, TRAFFIC CONTROL, AND CLEANUP

A traffic control plan, security plan, and cleanup plan are required. Applicant must obtain and pay for police, traffic control, barricades, equipment and personnel as directed by the Authorizing Agency. Applicant shall remove all debris and restore all public property to its prior condition within following event conclusion.

COMPLIANCE WITH LAWS

Applicant shall comply with all applicable federal, state and local laws, ordinances, regulations and permit conditions, including but not limited to public health, noise, fire safety, and accessibility requirements. Nothing in this Permit authorizes violation of any law.

CONFIDENTIALITY

Records or information designated in writing by the Authorizing Agency as confidential and provided to Applicant in the course of permit administration shall not be disclosed by Applicant except as required by law. This provision does not limit the Authorizing Agency's disclosure obligations under applicable public records laws.

GOVERNING LAW AND ENTIRE AGREEMENT

Governing Law: This Permit shall be governed by and construed in accordance with the laws of the jurisdiction in which the event is to be held. Applicable jurisdiction:
