4. Confidentiality

Participant and Organizer acknowledge that during the course of performance they may receive Confidential Information. "Confidential Information" means non-public information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information except to employees, contractors, or agents who need to know and who are bound by confidentiality obligations; and (c) use Confidential Information solely to perform obligations under this Agreement. The foregoing obligations do not apply to information that is (i) publicly known without breach of this Agreement, (ii) already in the receiving party's possession without restriction, or (iii) required to be disclosed by law, provided the disclosing party is given prompt notice and assistance to seek protective measures.

5. Liability, Insurance and Indemnification

Participant is responsible for maintaining at its expense all insurance required by law and any additional coverage reasonably required by Organizer, including commercial general liability and, if applicable, performers' liability. Participant shall indemnify, defend, and hold harmless Organizer and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of Participant's negligence, willful misconduct or breach of this Agreement, except to the extent caused by Organizer's sole negligence or willful misconduct.

Participant represents that required insurance is in effect and will provide certificates of insurance upon Organizer's request.

6. Media and Publicity

Participant grants Organizer the perpetual, royalty-free right to photograph, record, and otherwise capture Participant's performance or participation at the Event and to use such media for promotional, commercial, or archival purposes. Organizer will not be required to obtain separate consent for such uses and Participant waives any moral rights in such media to the extent allowed by law.

Participant agrees to the media release terms above.

7. Conduct and Compliance

Participant shall comply with all applicable laws, venue rules, and Organizer policies. Participant shall conduct themselves professionally and shall not engage in discriminatory, harassing, or unsafe conduct. Organizer reserves the right to remove Participant from the Event for violation of this provision without refund and without liability beyond compensation for services actually performed prior to removal.

8. Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties agree to attempt in good faith to resolve disputes through negotiation. If negotiation fails, the parties may pursue any available legal or equitable remedies in the courts of the chosen jurisdiction.

9. Entire Agreement

This Agreement, together with any written attachments or schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral.
