Recitals

WHEREAS, Organizer conducts the Event described above and provides facilities, staff, equipment and programming in connection with the Event; and

WHEREAS, Participant desires to participate in the Event and acknowledges that participation involves certain risks, including but not limited to personal injury, property damage, and other losses; and

WHEREAS, the parties desire to set forth the terms and conditions under which Participant may participate in the Event and the respective rights, assumptions of risk, releases and obligations of the parties.

Scope of Activities

Assumption of Risk, Release and Indemnity

Participant acknowledges that participation in the Event involves inherent risks, including serious bodily injury and death. Participant voluntarily accepts and assumes all such risks, whether known or unknown, foreseeable or unforeseeable, inherent or otherwise. Participant, on behalf of Participant, Participant's heirs, assigns and next of kin, hereby forever releases, waives and discharges Organizer, its officers, directors, agents, volunteers, employees, contractors, sponsors and insurers (collectively, Released Parties) from any and all liability, claims, demands, causes of action or suits arising out of or related to Participant's participation in the Event, including claims based on the negligence of the Released Parties.

Participant further agrees to indemnify, defend and hold harmless the Released Parties from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Participant's acts or omissions in connection with the Event, breach of this Agreement, or violation of applicable laws or rules.

Medical Authorization

In the event of an emergency, Participant authorizes Organizer and its agents to seek and obtain medical treatment for Participant and agrees to be responsible for all medical expenses incurred. Participant represents that Participant has no medical condition that would make participation unsafe, or has disclosed such condition in the medical information provided to Organizer.

Photo and Likeness Release

Participant hereby grants Organizer the right to photograph and record Participant during the Event and to use such photographs, video and audio recordings for promotional, educational, or other lawful purposes without further consent or compensation. Participant waives any right to inspect or approve such materials and releases Organizer from any claims relating to their use.

Payment Terms

Term and Termination

This Agreement commences on the Event Start Date specified above and terminates on the Event End Date unless earlier terminated in accordance with this section. Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period set forth below.

Confidentiality

Each party shall keep confidential any non-public information received from the other party in connection with the Event and shall not disclose such information to third parties except as required by law or with the prior written consent of the disclosing party. Confidential information does not include information that is or becomes publicly known through no breach of this Agreement or is independently developed by the receiving party.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified by Organizer below, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located within that jurisdiction for any action arising out of or relating to this Agreement.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any modification to this Agreement must be in writing and signed by both parties.

Acknowledgement and Certification

By signing below, Participant certifies that Participant has read this Agreement in full, understands its terms, is aware that this is a release of liability and a contract, and signs it voluntarily. Participant further certifies that the information provided on this form is true and correct to the best of Participant's knowledge.
