EVENT PARTICIPATION ADDENDUM

This Event Participation Addendum ("Addendum") is entered into as of Effective Date: by and between Organizer Name: and Participant Name: .

WHEREAS

WHEREAS, Organizer is producing the event known as Event Name: scheduled to occur on Event Date: at Event Location: ;

WHEREAS, Participant possesses the skills, services, personnel, equipment or intellectual property necessary to perform the participation obligations described herein and is willing to perform such obligations under the terms and conditions set forth in this Addendum and the underlying agreement between the parties.

SCOPE OF WORK

Participant shall perform the services described above in a professional manner consistent with industry standards. Participant will comply with all reasonable directions provided by Organizer in relation to event logistics, timing, and safety requirements. Any changes to the Scope of Work must be agreed in writing by authorized representatives of both parties.

PAYMENT TERMS

Unless otherwise specified in the Payment Schedule, Organizer shall pay invoiced amounts within 30 days of receipt of a proper invoice. All invoices shall reference Event Name and invoice shall be directed to the billing contact provided by Organizer.

TERM AND TERMINATION

This Addendum shall commence on Start Date: and shall terminate on End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Addendum for cause if the other party materially breaches any provision and fails to cure within the Notice Period specified above. Organizer may terminate immediately for safety reasons or if the event is canceled. Termination shall not relieve either party of obligations accrued prior to termination, including payment for services performed.

CONFIDENTIALITY

The parties acknowledge that during the course of performance one party may disclose Confidential Information to the other. "Confidential Information" means non-public information disclosed in connection with this Addendum, including but not limited to proprietary processes, pricing, attendee lists, and technical materials. Each receiving party shall: (a) hold Confidential Information in strict confidence; (b) use it only to perform obligations under this Addendum; and (c) disclose it only to employees or agents who have a need to know and who are bound to confidentiality obligations no less protective than those herein. Confidentiality obligations survive termination for a period of two (2) years.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its officers, directors and agents from and against any third party claims, liabilities, damages and expenses arising out of the indemnifying party’s negligence, willful misconduct, or breach of this Addendum. The indemnified party shall provide prompt written notice of any claim and cooperate in the defense.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. Venue for any dispute shall be the state or federal courts located in the same jurisdiction.

ENTIRE AGREEMENT

This Addendum, together with any referenced attachments, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior or contemporaneous oral or written agreements. Any modification must be in writing and signed by authorized representatives of both parties.
