EVENT PARTICIPATION AGREEMENT

This Event Participation Agreement ("Agreement") is entered into as of by and between Organizer Name: , with principal address (hereinafter "Organizer"), and Participant Name: , with address (hereinafter "Participant").

RECITALS

WHEREAS, Organizer is planning and producing an event known as (the "Event") to be held at ;

WHEREAS, the Event is scheduled to take place from through ; and

WHEREAS, Participant desires to participate in the Event and Organizer desires to permit Participant to participate subject to the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Event Materials" means materials, programs, signage, recordings, photographs, and other tangible or electronic items produced for or during the Event.

1.2 "Confidential Information" means non-public business, technical or personal information disclosed by a party that is identified as confidential or that by its nature should reasonably be understood to be confidential.

2. PARTICIPATION

2.1 Grant. Organizer grants Participant a non-exclusive, non-transferable right to participate in the Event in accordance with this Agreement and any rules or operating procedures promulgated by Organizer.

2.2 Scope. Participant's participation is limited to the role described as: . Participant shall comply with Organizer's instructions and directives relating to the Event.

Participant shall pay Organizer the fee set forth below in consideration for participation. Fees are non-refundable except as expressly provided in this Agreement.

5. PARTICIPANT OBLIGATIONS

5.1 Conduct. Participant shall conduct itself professionally, comply with all applicable laws, and follow Organizer's safety and conduct rules. Organizer may remove Participant from the Event for violations without refund.

5.2 Compliance. Participant is responsible for obtaining any permits, licenses or third-party approvals necessary for Participant's activities at the Event.

6. HEALTH, SAFETY AND INSURANCE

6.1 Health and Safety. Participant acknowledges the risks associated with attendance and participation. Participant will comply with all health and safety protocols established by Organizer or venue operators.

6.2 Insurance. Participant represents that Participant maintains any insurance required for its participation. Participant confirms that it has the following insurance coverage:

7. MEDIA, RECORDING AND INTELLECTUAL PROPERTY

7.1 Media Release. Participant grants Organizer and its designees the irrevocable, worldwide, royalty-free right to use, record, reproduce and distribute Participant's name, likeness and recorded performance at the Event in any media now known or hereafter developed.

7.2 Ownership. Organizer retains ownership of Event Materials and any recordings of the Event, except that Participant retains ownership of pre-existing materials provided by Participant. Participant grants Organizer a license to use materials submitted for the Event for promotional and archival purposes.

8. CONFIDENTIALITY

Each party shall maintain in confidence Confidential Information disclosed by the other party during the term of this Agreement and for a period of two (2) years thereafter, excluding information that is or becomes public through no fault of the receiving party or is rightfully received from a third party without restriction.

9. INDEMNIFICATION AND LIMITATION OF LIABILITY

9.1 Indemnification. Participant shall indemnify, defend and hold harmless Organizer and its officers, agents and employees from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Participant's acts or omissions in connection with the Event, except to the extent caused by Organizer's gross negligence or willful misconduct.

9.2 Limitation of Liability. IN NO EVENT SHALL ORGANIZER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ORGANIZER'S AGGREGATE LIABILITY FOR DIRECT DAMAGES SHALL NOT EXCEED THE FEES PAID BY PARTICIPANT UNDER THIS AGREEMENT.

10. TERM AND TERMINATION

This Agreement commences on the Effective Date and continues until completion of the Event unless earlier terminated as provided herein. Organizer may terminate Participant's participation immediately for breach or conduct that threatens safety or the integrity of the Event. Termination does not relieve Participant of obligations accrued prior to termination.

11. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice in accordance with this section. Notice is effective upon receipt.

12. AMENDMENTS; WAIVER; COUNTERPARTS

12.1 Amendments. Any amendment or modification to this Agreement must be in writing and signed by both parties.

12.2 Waiver. No waiver of any breach shall be effective unless in writing and signed by the waiving party. The failure to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.

12.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

13. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

13.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below without regard to conflict of law principles.

13.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations.

13.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid provision shall be reformed to the extent necessary to make it enforceable.
