EVENT PARTICIPATION CHALLENGE WAIVER

WHEREAS

WHEREAS, Organizer conducts the above-named Event consisting of a physical and/or mental challenge involving timed activities, obstacles, training components, or similar competitive tasks that may present inherent risks to participants; and

WHEREAS, Participant wishes to participate in the Event and acknowledges the nature of the activities and the risks involved; and

WHEREAS, the parties desire to set forth the terms under which Participant will participate and Organizer will provide the Event and related services.

SCOPE OF ACTIVITY

Organizer will provide event management, on-site marshals, timing services where applicable, basic first-aid response, and facility access for the Event. Participant agrees to comply with all safety instructions, pre-event briefings, and rules established by Organizer.

PAYMENT TERMS

If payment is not received by the due date specified above, late charges as set forth below shall apply.

TERM AND TERMINATION

This Agreement commences on / / (Start Date) and terminates on / / (End Date), unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period set forth above. Organizer may suspend Participant's participation immediately for safety concerns or rule violations.

WAIVER, RELEASE, ASSUMPTION OF RISK AND INDEMNITY

Participant acknowledges and understands that participation in the Event involves physical exertion and risks including, but not limited to, slips, falls, contact with other participants, equipment failure, adverse weather, and emergency medical situations (collectively, "Risks"). Participant voluntarily assumes all Risks associated with participation.

Participant, on behalf of Participant and Participant's heirs, assigns, personal representatives and next of kin, releases, waives, discharges and covenants not to sue Organizer or its officers, directors, employees, volunteers, contractors and agents (collectively, "Released Parties") for any and all liability, claims, demands, losses or damages on account of injury, death or damage to property arising out of or related to Participant's participation in the Event, whether caused by the negligence of the Released Parties or otherwise, to the fullest extent permitted by law.

Participant agrees to indemnify, defend and hold harmless the Released Parties from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or resulting from Participant's negligence, willful misconduct, or breach of this Agreement.

MEDICAL ACKNOWLEDGMENT AND EMERGENCY CONTACT

Participant certifies that Participant is physically fit and has no medical condition that would prevent safe participation in the Event. Participant grants Organizer permission to obtain emergency medical treatment for Participant if, in Organizer's sole judgment, such treatment is necessary.

ADDITIONAL CONSENTS

Participant acknowledges having read and understood the risks described above and voluntarily assumes those risks.

Participant grants Organizer the right to photograph, record and use images or video of Participant for promotional and informational purposes without compensation, subject to Organizer's discretion.

Participant authorizes emergency medical treatment as described above.

CONFIDENTIALITY

Neither party shall disclose confidential business information of the other party obtained in connection with this Agreement, except to employees, agents or contractors with a legitimate need to know or as required by law. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party or was independently developed.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction identified below. The parties agree that any dispute arising under this Agreement will be resolved in the courts of that jurisdiction unless the parties agree in writing to alternative dispute resolution.

ENTIRE AGREEMENT

This Agreement, including any attachments or incorporated policies, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings and representations. Any amendment must be in writing and signed by both parties.

CERTIFICATION

By signing below, Participant certifies that Participant has read this Agreement, understands its terms, and agrees to be bound by its provisions. Participant acknowledges that Participant is signing this document voluntarily and that this signature is intended to be a complete and unconditional release of all liability to the greatest extent allowed by law.
