EVENT PARTICIPATION REQUEST

SCOPE OF WORK

Either party may terminate this Agreement for convenience upon written notice provided at least days prior to the intended termination date. Organizer may terminate immediately for material breach, failure to comply with site rules, or failure to timely pay required fees.

CONFIDENTIALITY

Each party acknowledges that it may be exposed to Confidential Information of the other party. "Confidential Information" includes non-public business information, attendee lists, pricing, marketing plans, and technical information disclosed in connection with this Agreement. Each party shall (i) hold Confidential Information in strict confidence; (ii) not disclose it to any third party except as required by law or with prior written consent; and (iii) use it only for performance of obligations under this Agreement. Confidentiality obligations continue for a period of two (2) years following termination of this Agreement.

INSURANCE AND INDEMNIFICATION

The Requester shall maintain, at its own expense, commercial general liability insurance with limits reasonably acceptable to the Organizer and shall provide certificates of insurance upon request. The Requester agrees to indemnify, defend and hold harmless the Organizer, its officers, employees and agents from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of Requester’s participation, negligence, willful misconduct, or breach of this Agreement.

COMPLIANCE WITH LAWS AND EVENT RULES

Requester shall comply with all applicable laws, regulations, venue rules, and Organizer policies. The Organizer may impose site-specific rules related to safety, signage, and public health; Requester agrees to comply and to ensure its representatives do likewise.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all attachments and referenced documents, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements, whether written or oral. Any amendment must be in writing and executed by authorized representatives of both parties.
