Recitals

WHEREAS, Organizer operates or produces events and desires participation from qualified vendors or participants on the terms set forth in this Event Participation Schedule (the Schedule); and

WHEREAS, Participant possesses the skills, services, or goods to be provided at the scheduled events and agrees to provide such services in accordance with the Scope of Work, schedule, and payment terms set forth below; and

WHEREAS, the parties intend this Schedule to govern the specific dates, times, locations, fees, and responsibilities applicable to Participant's engagement at Organizer's event or events.

Participant Responsibilities

Participant shall arrive prepared to perform the services described in the Scope of Work, comply with all applicable venue rules and safety protocols, and maintain required permits and insurance. Participant shall be responsible for all personnel, equipment and materials necessary to fulfill this Schedule unless otherwise specified in writing.

Payment Terms

Organizer agrees to pay Participant the fees set forth below in exchange for Participant's performance under this Schedule. All payments are subject to the terms below.

Late Payment: Any unpaid amount after the due date shall accrue interest at a rate of or the maximum permitted by law, whichever is less. Participant may suspend performance for non-payment after providing written notice of fourteen (14) days.

Either party may terminate this Schedule for convenience upon written notice given at least days prior to the intended termination date. Termination for material breach shall be effective upon written notice if the breaching party fails to cure within fourteen (14) days of receipt of notice of breach.

Confidentiality

Each party acknowledges that during the term of this Schedule it may receive Confidential Information of the other party. "Confidential Information" means nonpublic information disclosed in connection with this Schedule, whether written or oral, including financial terms, marketing plans and technical data. Each party agrees to (a) hold Confidential Information in strict confidence using at least the same degree of care it uses for its own confidential information, (b) use Confidential Information solely for performance under this Schedule, and (c) not disclose Confidential Information except to employees or subcontractors who have a need to know and are subject to confidentiality obligations no less protective than those herein. Confidential Information does not include information that is or becomes publicly available without breach of this Schedule, already known without restriction, lawfully received from a third party, or independently developed.

Indemnity and Insurance

Participant agrees to indemnify and hold harmless Organizer, its officers, agents, and employees from and against claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Participant's negligent acts or omissions or breach of this Schedule. Participant shall maintain insurance appropriate to the activities and limits reasonably requested by Organizer and shall provide evidence of such insurance upon request.

Governing Law; Entire Agreement

This Schedule shall be governed by and construed in accordance with the laws of the state specified below without regard to its conflicts of law principles. Any dispute relating to this Schedule shall be resolved in the state or federal courts located in the same state.

This Schedule, together with any referenced attachments or amendments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. Any amendment must be in writing and signed by both parties.

Miscellaneous Provisions

Neither party may assign this Schedule without the prior written consent of the other, except that Organizer may assign to an affiliate or successor by merger or sale of substantially all assets. The parties are independent contractors and nothing in this Schedule creates an employment, partnership or agency relationship.
