EVENT PARTY BOOKING AGREEMENT

This Event Party Booking Agreement ("Agreement") is entered into between Client Name: and Organizer Name: .

Recitals

WHEREAS, Organizer is in the business of providing event planning, production, and related services; and

WHEREAS, Client desires to retain Organizer to provide services for an event described below, and Organizer agrees to provide such services under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Organizer shall provide the services described below in a professional manner consistent with industry standards. The scope may include planning, coordination, setup, staffing, equipment, entertainment booking, and teardown in accordance with the specifications agreed by the parties.

Payment Terms

Client agrees to pay Organizer the Total Fee specified below in exchange for the services set forth in this Agreement. All payments shall be in US dollars unless otherwise agreed in writing.

Late Payment: Any payment not received within days of the due date shall incur a late fee of of the overdue amount, plus interest at the maximum rate permitted by applicable law.

Term and Termination

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after receiving written notice. Termination by Client for convenience shall be subject to the cancellation fee described below.

Insurance and Permits

Organizer shall maintain at its expense all insurance required by law and commercially reasonable general liability insurance covering the event. Client is responsible for obtaining any necessary permits and for compliance with venue rules. Proof of insurance shall be provided upon request.

Confidentiality

Each party agrees that it will not disclose Confidential Information of the other party to any third party and will use such Confidential Information only for performance under this Agreement. "Confidential Information" includes pricing, guest lists, trade secrets, and proprietary business information, but does not include information that is public or rightfully obtained from a third party without restriction.

Indemnification

Each party (Indemnitor) shall indemnify, defend and hold harmless the other party, its officers, agents and employees (Indemnitee) from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Indemnitor's negligence, willful misconduct, or breach of this Agreement.

Force Majeure

Neither party shall be liable for failure or delay in performance to the extent caused by events beyond its reasonable control, including acts of God, governmental action, fire, flood, strike, epidemic, or other similar causes. The affected party shall promptly notify the other and use commercially reasonable efforts to resume performance.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles.

Entire Agreement

This Agreement, including any attachments or addenda signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether written or oral. No modification of this Agreement shall be effective except in a written instrument signed by both parties.

Additional Provisions

The parties acknowledge and agree that signatures delivered electronically or by facsimile shall be treated as original signatures for all purposes.
