EVENT PARTY CONTRACT

This Event Party Contract (the "Agreement") is made effective as of by and between Client Name: (hereinafter "Client") and Organizer Name: (hereinafter "Organizer"). Both Client and Organizer are individually referred to as a "Party" and collectively as the "Parties."

Recitals

WHEREAS, Organizer is in the business of providing event planning, production, staffing, and related services; and

WHEREAS, Client desires to retain Organizer to provide services in connection with the event described in this Agreement on the terms and conditions set forth herein; and

WHEREAS, Organizer is willing to provide such services to Client subject to the terms and conditions of this Agreement.

NOW, THEREFORE, in consideration of the covenants and agreements set forth below, the Parties agree as follows:

1. Definitions

For purposes of this Agreement: "Event" means the gathering described in Section 3; "Services" means the services to be performed by Organizer as described in Section 2; "Venue" means the location where the Event is held; and "Force Majeure" means an event beyond the reasonable control of the affected Party as described in Section 8.

2. Services

Organizer shall provide the Services as agreed between the Parties. Services shall include, without limitation, event coordination, vendor management, staffing, equipment rental, setup, teardown, and on-site management as specified below.

4. Payment and Fees

Client shall pay Organizer the total fee set forth below in accordance with the schedule below. All amounts are stated in U.S. dollars. Organizer's acceptance of any payment does not waive Organizer's right to enforce the payment schedule.

Late payments shall accrue interest at or the maximum permitted by law, whichever is less. Client is responsible for any collection costs and attorneys' fees incurred by Organizer in enforcing payment.

5. Cancellation and Refund

Client may cancel the Event by providing written notice to Organizer. If Client cancels more than days before the Event, Organizer shall refund amounts paid in excess of the non-refundable deposit after deduction of actual, documented expenses. Deposits are non-refundable if cancellation occurs within the period set forth above.

If Organizer cancels the agreement other than for Client's material breach, Organizer shall use commercially reasonable efforts to procure a replacement provider; if Organizer cannot do so, Organizer shall refund all amounts paid by Client, and such refund shall be Client's sole remedy.

6. Permits and Compliance

Client is responsible for obtaining and paying for any venue-specific permits, licenses, or approvals required for the Event unless otherwise agreed in writing. Organizer will comply with reasonable venue rules and applicable laws; Client shall ensure the Venue's rules permit the Services.

7. Insurance and Liability

Organizer shall maintain commercial general liability insurance covering its operations with limits not less than . Client may be required to provide a certificate of insurance naming Organizer as additional insured if requested.

Except for willful misconduct or gross negligence, Organizer's aggregate liability for any claim arising from this Agreement shall not exceed the total fees paid by Client to Organizer under this Agreement.

8. Indemnification

Each Party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other Party and its officers, directors, employees, agents and contractors (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of third-party claims to the extent caused by the Indemnifying Party's negligence, willful misconduct or breach of this Agreement.

9. Force Majeure

Neither Party shall be liable for delay or failure to perform its obligations under this Agreement if such delay or failure arises from a cause beyond the reasonable control of that Party, including acts of God, pandemic, fire, flood, strikes, governmental action, terrorism, or other events of force majeure. The affected Party shall provide prompt notice to the other Party and shall use reasonable efforts to resume performance.

10. Confidentiality

The Parties agree that any non-public information exchanged in connection with this Agreement regarding pricing, guest lists, trade secrets or proprietary production techniques shall be held in confidence and shall not be disclosed to third parties except as required by law or with the disclosing Party's prior written consent.

11. Termination

Either Party may terminate this Agreement upon written notice if the other Party materially breaches any obligation under this Agreement and fails to cure such breach within days after receiving written notice specifying the breach.

12. Remedies

Except as otherwise provided in this Agreement, the remedies available to a Party for breach shall include pursuit of damages, equitable relief, and any other remedy available at law or in equity. Monetary damages may be inadequate; the Parties agree that specific performance is an appropriate remedy where applicable.

13. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by personal delivery, certified mail (return receipt requested), or nationally recognized courier service, and shall be deemed given upon receipt.

14. Amendments; Waiver

No amendment or modification of this Agreement shall be effective unless in writing and signed by both Parties. No waiver of any provision shall be valid unless in writing and signed by the Party granting the waiver. A waiver of any breach shall not constitute a waiver of any subsequent breach.

15. Governing Law; Entire Agreement; Severability

This Agreement shall be governed by and construed in accordance with the laws of the state selected by the Parties below without regard to conflict of law principles. The Parties agree to submit to the exclusive jurisdiction of the courts located in that state for disputes arising out of this Agreement.

This Agreement constitutes the entire agreement between the Parties regarding the Event and supersedes all prior and contemporaneous agreements, representations and understandings, oral or written. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Counterparts

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be binding as originals.
