SCOPE OF SERVICES

The Provider shall perform the following services in connection with the Event. The description below shall constitute the complete scope of services to be provided, including but not limited to planning, on-site coordination, vendor management, set-up and breakdown, invitations and RSVP management, and any additional services expressly agreed in writing.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Termination for material breach by either party may be immediate if the breaching party fails to cure the breach within a commercially reasonable cure period after written notice. Termination shall not relieve the Organizer of obligation to pay for services performed or irrevocable commitments made prior to termination.

CONFIDENTIALITY

Each party agrees that all non-public information disclosed in connection with the Event, including guest lists, pricing, vendor proposals, and marketing plans, constitutes Confidential Information. The receiving party shall not use Confidential Information for any purpose other than performance under this Agreement and shall not disclose such information to any third party except to its employees or contractors who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein. Confidentiality obligations shall survive termination of this Agreement for a period of two (2) years.

LIABILITY AND INDEMNITY

Each party agrees to indemnify, defend, and hold harmless the other party, its officers, agents and employees from and against any claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising from the indemnifying party's negligence, willful misconduct, or breach of this Agreement. To the maximum extent permitted by law, the Provider's aggregate liability for any claim arising under this Agreement shall be limited to direct damages up to the total fees paid by the Organizer to the Provider under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. Any action arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, including any attachments and written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or waiver shall be effective unless in writing and signed by both parties.
