RECITALS

WHEREAS, Organizer: conducted the event titled on or about ; and

WHEREAS, Recipient: desires access to the Organizer's recorded list of past attendees for the purposes and subject to the terms set forth herein.

NOW, THEREFORE, in consideration of the mutual promises contained in this form and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

SCOPE OF DATA TRANSFER

The Organizer will provide a list of past event attendees to the Recipient. The list will include only the fields explicitly described below and as further detailed in the Scope of Work. The Recipient's permitted uses are limited to the uses expressly authorized in this document.

ATTENDEE DATA

Provide the attendee entries below. Each line should contain one attendee record with the following fields separated by semicolons: Full name; Email address; Company/affiliation; Event attended; Event date (MM/DD/YYYY).

DATA USE, CONSENT, AND REPRESENTATIONS

The Organizer represents and warrants that it has collected each attendee's information in accordance with applicable data protection laws and, where required, has obtained consent necessary to permit the Recipient's intended uses. The Organizer further represents that personal data included in the list is accurate to the best of its knowledge at the time of transfer.

PAYMENT TERMS

In consideration for the transfer of the attendee list, the Recipient shall pay the Organizer the amounts and according to the schedule set forth below. All amounts are payable in lawful currency of the governing jurisdiction.

This agreement commences on Start Date and continues through End Date unless earlier terminated under this section.

Either party may terminate this agreement for material breach where the breaching party fails to cure within the notice period specified above. On termination, Recipient must destroy or return all transferred attendee data and provide certification of such destruction within ten (10) days, unless otherwise agreed in writing.

CONFIDENTIALITY

The Recipient acknowledges that the attendee list may contain confidential information. Recipient agrees to: (a) treat the data as confidential; (b) restrict access to personnel with a demonstrated need-to-know; (c) implement reasonable administrative, technical, and physical safeguards to protect the data; and (d) not disclose the data to third parties except as expressly permitted in writing by the Organizer or as required by law.

This agreement shall be governed by and construed in accordance with the laws of:

ENTIRE AGREEMENT

This form constitutes the entire agreement between the Organizer and the Recipient with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. Any amendment must be in writing and signed by authorized representatives of both parties.

ADDITIONAL NOTICES & CERTIFICATIONS

The parties acknowledge that misuse of personal data may give rise to statutory penalties and private claims. Each party agrees to indemnify the other for claims arising from its breach of representations and obligations in this agreement, subject to any limitations set forth in a separate written agreement between the parties.
