EVENT PEACE DAY TEMPLATE

This Event Peace Day Agreement ("Agreement") is made effective as of Effective Date: by and between Organizer Name: with principal address: , and Partner Name: with principal address: .

RECITALS

WHEREAS, Organizer is experienced in planning, coordinating, and executing community-focused public events aimed at promoting peace, safety, and community engagement; and

WHEREAS, Partner desires to engage Organizer to plan and deliver Event Name: to be held at Location: on Event Date: , and Organizer is willing to perform the services under the terms set forth herein.

SCOPE OF WORK

Organizer shall provide planning, coordination, and event-day services reasonably necessary to produce Event Peace Day, including but not limited to: site layout and safety planning, vendor coordination, volunteer management, publicity coordination, programming schedule, risk management and emergency response liaison, and post-event evaluation. Specific deliverables, milestones, and acceptance criteria are described below and form part of this Agreement.

PAYMENT TERMS

In consideration for Organizer's performance, Partner shall pay the fees set forth below in accordance with the schedule and invoicing terms. All amounts are in U.S. dollars and exclusive of applicable taxes unless otherwise stated.

Example schedule: Deposit equal to Deposit Amount: due upon execution; remaining balance invoiced Thirty (30) days prior to Event Date.

Late payments shall accrue interest at Late Fee Rate: after a grace period of days from the invoice due date. Partner shall be responsible for any reasonable collection costs, including attorney fees, incurred by Organizer in enforcing payment.

TERM AND TERMINATION

This Agreement commences on Start Date: and terminates on End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement without cause upon written notice provided not less than Notice Period: days prior to the intended termination date. Organizer may immediately terminate for cause if Partner fails to pay fees when due or materially breaches obligations and does not cure within Ten (10) days of written notice. On termination, Partner shall pay Organizer for all services performed and non-cancellable commitments made through the effective date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential all non-public information designated as confidential or that reasonably should be understood to be confidential given the nature of the information ("Confidential Information") disclosed by the other party (the "Disclosing Party") in connection with this Agreement. Confidential Information excludes information that (a) is or becomes publicly available through no breach of this Agreement, (b) is rightfully received from a third party without restriction, (c) is independently developed without use of the Disclosing Party's Confidential Information, or (d) is required to be disclosed by law or a court order, provided the Receiving Party gives prompt written notice to the Disclosing Party and cooperates to limit the disclosure.

The Receiving Party shall use Confidential Information solely to perform its obligations under this Agreement and shall protect such information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Governing State: without regard to conflict of laws principles. Venue for any dispute arising under this Agreement shall be in the state or federal courts located in the county where Organizer maintains its principal place of business.

ENTIRE AGREEMENT

This Agreement, including any exhibits, schedules, and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous negotiations, proposals, understandings, and agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

Indemnification: Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any third-party claims, damages, liabilities and expenses arising out of the indemnifying party's negligent or willful acts or omissions in connection with the performance of this Agreement.

Insurance: Organizer shall maintain commercially reasonable insurance appropriate to the activities contemplated by this Agreement and shall provide proof of insurance upon Partner's request.
