Parties

Recitals

WHEREAS, Vendor operates a mobile photo booth business providing photographic printing, digital capture, attendant services, and associated equipment and props; and

WHEREAS, Client desires to engage Vendor to provide photo booth services for the event to be held on , at the location:

WHEREAS, the parties wish to set forth the terms and conditions under which Vendor will provide the services and equipment described below.

Scope of Work

Vendor will provide photo booth services and related equipment at the Event. Services to be provided include, at minimum, the items selected below and any additional items documented in the scope description.

Payment Terms

Client agrees to pay Vendor the total contract price specified below in consideration for the services and equipment described herein. All amounts are stated in lawful currency.

Payments shall be made according to the schedule above. If Vendor does not receive cleared payment by the balance due date, Client shall be subject to a late fee of % per month on the outstanding balance, compounded monthly, and Vendor may suspend services until payment is made.

Term and Termination

This Agreement commences on , and continues until completion of the services on , , unless earlier terminated pursuant to this Agreement.

Either party may terminate this Agreement for convenience by providing written notice to the other party at least days prior to the scheduled event. If Client cancels within the notice period specified in this paragraph, the deposit shall be forfeited as liquidated damages and not a penalty.

Cancellation and Rescheduling

If Client reschedules the event, Vendor will use commercially reasonable efforts to accommodate the new date. Rescheduling less than the notice period may incur additional fees. If Vendor is unable to provide services on the rescheduled date, Vendor will refund amounts paid, less reasonable costs incurred.

Confidentiality

Each party agrees that all nonpublic information disclosed by the other party in connection with this Agreement, including pricing, guest lists, trade secrets, and image archives not intended for public distribution, shall be treated as confidential and shall not be disclosed to third parties without prior written consent, except as required by law.

Liability, Insurance, and Indemnification

Vendor will maintain general liability insurance covering the operation of the photo booth at the Event. Client shall ensure that the Event venue provides safe and lawful conditions for Vendor's performance. To the fullest extent permitted by law, Client agrees to indemnify, defend and hold Vendor harmless from and against any claims, liabilities, losses or expenses arising from Client's negligence or willful misconduct, except to the extent caused by Vendor's gross negligence or willful misconduct.

Force Majeure

Neither party shall be liable for delay or failure to perform due to causes beyond its reasonable control, including acts of God, government action, pandemic, strikes, civil commotion, fire, flood, adverse weather, or inability to obtain materials or services. The non-performing party shall give prompt written notice to the other party and use reasonable efforts to resume performance.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles. Any dispute arising under this Agreement will be resolved through binding arbitration if the parties mutually agree; otherwise, disputes shall be resolved in the state and federal courts located in the governing state.

Entire Agreement; Assignment; Severability

This Agreement, together with any attachments and accepted estimates, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior negotiations and agreements. Neither party may assign this Agreement without the other's prior written consent, except that Vendor may assign to an affiliate or successor without Client consent. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice delivered in accordance with this paragraph.
