Either party may terminate this Agreement for material breach by the other party following written notice and a cure period of days. Provider may terminate immediately if safety concerns, venue restrictions, nonpayment, or illegal activity arise.

CONFIDENTIALITY

Each party shall maintain in confidence and shall not disclose to any third party any confidential or proprietary information disclosed by the other party in connection with the services, including but not limited to pricing, trade secrets, guest lists, or event plans, except as required by law. Confidential information does not include information that (i) is or becomes generally available to the public through no fault of the receiving party; (ii) was in the receiving party's possession prior to disclosure; or (iii) is rightfully obtained from a third party without restriction.

INSURANCE, LIABILITY AND INDEMNIFICATION

Provider shall maintain commercially reasonable general liability insurance for the duration of the event. Client shall ensure that the venue provides safe and adequate space for the photo booth and shall be responsible for claims arising from Client's negligence, acts of guests, or failure to obtain required permits. To the fullest extent permitted by law, each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims, damages, losses and expenses (including reasonable attorneys' fees) arising from the indemnifying party's negligence or willful misconduct.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform resulting from events beyond its reasonable control, including acts of God, government restrictions, strikes, civil unrest, or severe weather. In such event, the parties shall confer in good faith to reschedule services or agree on appropriate relief.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State selected by the parties. The parties submit to the exclusive jurisdiction of the state and federal courts located in the selected state for the resolution of disputes arising under this Agreement.
