Scope of Work

The Organization/Photographer will photograph and/or record the Participant as described below. The parties agree that the Scope of Work includes the capture, processing and delivery of images and/or video for the Event indicated above.

Grant of Rights

Participant hereby irrevocably grants to Organization/Photographer, and its licensees, successors and assigns, the unrestricted, perpetual, worldwide, royalty-free right and license to use, reproduce, publish, distribute, display, modify, create derivative works from, and otherwise exploit photographic and video images and recordings of Participant (collectively, "Materials") in any media now known or hereafter devised for promotional, advertising, archival, commercial, educational, editorial, and other lawful purposes. Participant waives any right to inspect or approve finished images or materials incorporating the Materials.

Participant further releases Organization/Photographer from any claims, demands or liability whatsoever in connection with the use of the Materials, including but not limited to claims for invasion of privacy, defamation, or right of publicity, except to the extent such claims arise from Organization/Photographer's gross negligence or willful misconduct.

Compensation and Payment Terms

As full consideration for the rights granted herein, Participant will receive the compensation described below, if any. If no monetary compensation is indicated, Participant acknowledges that the license granted is in exchange for other consideration and/or mutual benefit.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within Notice Period (days): following written notice. Termination shall not affect Organization/Photographer's rights to retain and use Materials lawfully obtained prior to termination.

Confidentiality

The parties acknowledge that certain information exchanged in connection with production, including unreleased images and proprietary production details, may be confidential. Each party agrees to protect Confidential Information of the other using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information does not include Materials or information that becomes generally known to the public through no fault of the receiving party.

Warranties and Indemnity

Participant warrants that Participant has full authority to grant the rights set forth herein and that use of the Materials by Organization/Photographer as permitted by this Agreement will not violate any third-party rights. Participant shall indemnify, defend and hold harmless Organization/Photographer and its affiliates from and against any claims, liabilities, damages and expenses arising from a breach of this warranty, except to the extent the claim arises from Organization/Photographer's gross negligence or willful misconduct.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.
