Recitals

WHEREAS, Client desires to engage Photographer to provide professional photography services in connection with the event described below, and Photographer represents that Photographer has the qualifications, experience, and equipment to perform such services in a professional manner; and

WHEREAS, the parties wish to set forth the terms and conditions under which Photographer will provide photography services and Client will compensate Photographer.

Licensing/Usage: Photographer grants Client a non-exclusive, non-transferable license to use delivered images for Client's internal and promotional purposes unless otherwise restricted below. Commercial redistribution, resale, or third-party licensing requires Photographer's prior written consent.

Payment Methods:

Late Fee: A late fee of will be assessed on any unpaid balance past the due date. Interest accrues at the lesser of the stated late fee or the maximum permitted by law.

Term and Termination

Either party may terminate for material breach if the breaching party fails to cure within days after receipt of written notice. Termination by Client without cause prior to the event may forfeit the deposit as liquidated damages.

Cancellation & Force Majeure

If Client cancels less than days before the event, Client is responsible for full payment less any saved expenses. Photographer is excused from performance for causes beyond reasonable control including, but not limited to, fire, flood, strike, civil disturbance, acts of God, or governmental action; in such event Photographer will promptly notify Client and use reasonable efforts to reschedule. If rescheduling is impossible, Photographer's liability is limited to refund of fees paid, less expenses incurred.

Confidentiality

Each party agrees to keep confidential any non-public information disclosed in connection with this Agreement and not to disclose such information to third parties except as required to perform obligations under this Agreement or as required by law. Confidential information does not include information that: (a) is or becomes publicly available other than through breach of this Agreement; (b) was rightfully in the receiving party's possession prior to disclosure; or (c) is independently developed without use of the other's confidential information.

Indemnification & Limitation of Liability

Client shall indemnify and hold harmless Photographer from third-party claims arising out of Client's use of images, breach of this Agreement, or negligence. Photographer's total liability for any claim arising out of or relating to this Agreement shall not exceed the total fees paid by Client under this Agreement. In no event shall Photographer be liable for consequential, incidental, or punitive damages.

Model Release

Client grants Photographer the right to use Client and event participant likenesses in Photographer's portfolio, marketing materials, and promotional activities unless Client expressly opts out in writing below.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict-of-law rules.

Entire Agreement

This Agreement, including all attachments and written statements of work signed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment must be in writing and signed by both parties.

Miscellaneous Provisions

Notices under this Agreement shall be in writing and delivered to the addresses provided above. If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect. Photographer retains ownership of original negatives and raw files unless otherwise agreed in writing; delivery of edited images transfers a limited license as set forth above.
