EVENT PIZZA PARTY AGREEMENT

Recitals

WHEREAS, Organizer is hosting an Event Pizza Party (the "Event") and requires catering services for the Event; and

WHEREAS, Vendor is engaged in the business of food preparation and catering and represents that it is qualified, properly licensed and insured to provide pizza catering services; and

WHEREAS, the parties desire to set forth the terms and conditions under which Vendor will provide catering services for the Event.

Event Details

Scope of Work

Vendor shall provide pizza catering services as described below. Vendor agrees to perform all services in a professional manner consistent with industry standards, to obtain and maintain required permits and insurance, and to comply with applicable health and safety laws.

           

Payment Terms

Organizer shall pay Vendor the Total Fee for the services described herein. The Total Fee, deposit, schedule and remedies for non-payment are set forth below.

Unpaid amounts shall accrue a late fee of on outstanding balances, and Vendor may suspend services if payment is overdue by more than days after notice.

If Organizer cancels the Event, Vendor shall retain the deposit and may retain additional amounts to cover costs incurred as follows: cancellation within days of Event = cancellation fee.

Term and Termination

Term: This Agreement commences on and, unless earlier terminated in accordance with this Agreement, terminates on .

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after receipt of written notice. Termination for convenience by Organizer requires days' prior written notice and payment of all amounts due for services performed and reasonable costs incurred to the date of termination.

Confidentiality

Each party acknowledges that in connection with this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public business, financial, marketing, operational or technical information disclosed in any form. Confidential Information does not include information that (a) is or becomes generally available to the public through no wrongful act of the receiving party; (b) was in the receiving party's possession prior to disclosure; or (c) is rightfully obtained by the receiving party from a third party without breach of an obligation of confidentiality.

The receiving party shall hold Confidential Information in strict confidence, use it solely to perform under this Agreement, and not disclose it except to employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Upon termination, the receiving party shall return or destroy Confidential Information and certify such return or destruction upon request. The parties acknowledge that money damages may be inadequate and that injunctive relief is an appropriate remedy for breach of this Section.

Insurance and Compliance

Vendor shall maintain commercial general liability insurance and food liability insurance in commercially reasonable amounts and shall provide certificates of insurance upon request. Vendor shall comply with all applicable health, sanitation and food safety laws, rules and regulations in performing services.

Indemnification

Each party shall indemnify, defend and hold harmless the other party and its officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence, willful misconduct, or breach of this Agreement. Vendor specifically agrees to indemnify Organizer against claims arising from foodborne illness or improper food handling by Vendor.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state selected by the parties below without regard to conflict of laws principles. The parties may select the governing state by entering it here:

This Agreement, including any attachments or documents incorporated by reference, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

Additional Provisions

Force Majeure: Neither party shall be liable for delay or failure to perform due to causes beyond its reasonable control, provided that the affected party gives prompt notice and uses reasonable efforts to resume performance.

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Vendor may assign receivables.
