EVENT PLANNING AGREEMENT

RECITALS

WHEREAS, Client Name: is engaging Event Planner: to provide event planning and coordination services in connection with the event described below.

WHEREAS, the parties desire to set forth the terms and conditions under which the Event Planner will provide the services and the Client will compensate the Event Planner.

WHEREAS, the parties acknowledge that the Event Planner will act as an independent contractor and not as an employee, partner, or agent of the Client.

EVENT SUMMARY

SCOPE OF WORK

The Event Planner will provide professional event planning, vendor coordination, and on-site management services as described below. The Planner shall perform services in a competent and timely manner in accordance with industry standards.

PAYMENT TERMS

Client shall pay the Event Planner the fees and reimburse expenses pursuant to the schedule below. All fees are exclusive of applicable taxes unless otherwise stated.

Client is responsible for timely payment of fees. If Client fails to pay any amount when due, the Event Planner may suspend services until payment is received and shall be entitled to recover collection costs, including reasonable attorneys' fees.

EXPENSES AND VENDORS

Client shall reimburse the Event Planner for pre-approved out-of-pocket expenses incurred in connection with the event, including vendor deposits, travel, accommodations, and rentals. The Planner will obtain Client approval for any single expense in excess of USD before commitment.

TERM AND TERMINATION

This Agreement commences on the Start Date: and shall continue until the End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Termination for cause may occur if a party materially breaches a material obligation and fails to cure within 15 days after written notice.

Upon termination, Client shall pay the Event Planner for all services rendered, out-of-pocket expenses incurred, and non-cancellable commitments made through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, financial, creative, technical, or vendor information disclosed in any form. Each party agrees to hold Confidential Information in strict confidence, to use it only for the purposes of performing under this Agreement, and not to disclose it to any third party except to employees, contractors, or vendors with a need to know who are bound by confidentiality obligations at least as protective as those set forth herein. Confidential Information shall not include information that is or becomes generally known to the public other than through a breach of this Agreement, or that is lawfully obtained from a third party without restriction.

INSURANCE; LIABILITY

The Event Planner will maintain general liability insurance and, where applicable, event professional liability coverage. Upon request, Planner will provide certificates of insurance naming Client as additional insured for the event. Except for willful misconduct or gross negligence, each party's liability to the other for any claim arising under this Agreement shall be limited to direct damages and shall not exceed the total fees paid to the Event Planner under this Agreement.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform its obligations under this Agreement if such delay or failure arises from causes beyond its reasonable control, including acts of God, acts of government, natural disasters, pandemics, or labor disputes. The affected party shall provide prompt written notice and use reasonable efforts to mitigate the effect of the event.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. Any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located in that state.

MISCELLANEOUS

Entire Agreement: This Agreement, including any attachments or exhibits, constitutes the entire agreement between the parties with respect to the event and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. Any amendment must be in writing signed by both parties.

Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that the Event Planner may assign to an affiliated entity or in connection with a sale of substantially all of its assets.
