EVENT PLANNING BABY SHOWER AGREEMENT

Recitals

WHEREAS, Client desires to engage Planner to provide professional event planning and coordination services for a baby shower to be held on at ; and

WHEREAS, Planner represents that Planner has experience and expertise in planning, coordinating and supervising social events and is willing to provide such services pursuant to the terms of this Agreement.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows.

Scope of Work

Planner will provide planning, coordination, and related services for the Event as described below. Services shall include but are not limited to the items checked and described in this section and any additional written change orders executed by both parties.

Payment Terms

Client agrees to pay Planner the total fee of $ (USD) for the Scope of Work set forth herein. Payment schedule is as follows:

Late payments shall incur a late fee of per month on any unpaid balance, calculated monthly, plus reasonable collection costs. All payments are non-refundable except as expressly provided in the Cancellation section below.

Term and Termination

This Agreement shall commence on and shall terminate on unless earlier terminated in accordance with this Agreement.

Confidentiality

Each party agrees that it shall not disclose to any third party any Confidential Information of the other party. "Confidential Information" includes business, financial and personal information disclosed in connection with event planning, guest lists, pricing, vendor contracts, and related materials. Confidential Information does not include information that is (a) already lawfully in the receiving party's possession; (b) becomes publicly available through no fault of the receiving party; or (c) is rightfully received from a third party without restriction. The obligations in this section shall survive termination of this Agreement for a period of two (2) years.

Cancellation and Refunds

If Client cancels more than 30 days prior to the Event, Planner will retain the deposit as a cancellation fee. If Client cancels within 30 days of the Event, Client shall be responsible for the full contract price less any amounts Planner can reasonably mitigate by rebooking services. Any refunds, if applicable, will be processed within thirty (30) days of final accounting.

Liability and Insurance

Planner will perform services with reasonable care, but Planner is not responsible for vendor failures, weather, force majeure events, or acts of third parties. Client is responsible for securing any event insurance and for all damages caused by guests. Planner's liability for any claim arising under this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Planner under this Agreement.

Vendor Coordination

Planner may retain or coordinate third-party vendors on Client's behalf. Client authorizes Planner to contract with vendors when necessary and to share relevant event information with third parties. Client is responsible for vendor payments unless otherwise agreed in writing. Planner will disclose any material relationships or commissions from vendors upon request.

Change Orders

Any changes to the Scope of Work shall be made in writing and signed by both parties. Additional services or materials requested after execution of this Agreement may incur extra charges and extended timelines. Planner shall not be obligated to perform work outside the agreed Scope of Work until a written change order is executed.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. This Agreement, including any written change orders and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous proposals, negotiations, representations and agreements, whether written or oral.

Miscellaneous Provisions

Notices required under this Agreement shall be in writing and delivered to the addresses provided above. If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Planner may assign this Agreement to an affiliate or successor entity.
