Event Planning Agreement — Christmas Event

This Event Planning Agreement (the Agreement) is entered into by and between:

Recitals

WHEREAS, Client desires to engage Planner to provide event planning and coordination services for a Christmas-themed event described herein; and

WHEREAS, Planner represents that it has the professional expertise, personnel, and resources to plan, coordinate, and supervise the Event in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the planning, production, and payment for the Event.

Scope of Work

Planner shall provide event planning, coordination, and related services for the Christmas Event, which shall include, without limitation, the tasks described below and any additional services agreed in writing.

Any balance not paid when due shall incur a late fee of per month or a flat fee of $, whichever is greater.

Term and Termination

This Agreement commences on Effective Date: and terminates upon completion of all Planner obligations, but no later than unless earlier terminated pursuant to this Section.

Either party may terminate this Agreement for convenience by providing written notice at least days prior to the earlier of the Event Date or the intended termination date. Termination by Client within days of the Event Date will result in forfeiture of the deposit and/or additional cancellation fees as set forth below.

Confidentiality

Each party shall hold in strict confidence all confidential information received from the other party, including pricing, vendor arrangements, guest lists, and event concepts (Confidential Information). Confidential Information does not include information that (i) is or becomes public through no fault of the receiving party; (ii) was rightfully known by the receiving party prior to disclosure; or (iii) is independently developed without use of the disclosing party's Confidential Information.

The receiving party may disclose Confidential Information to its employees, subcontractors, or professional advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those contained in this Agreement. Confidentiality obligations shall survive termination or expiration of this Agreement for a period of two (2) years.

Insurance; Indemnification

Planner shall maintain commercial general liability insurance and, where applicable, liquor liability, each with limits sufficient to cover activities under this Agreement. Upon request, Planner will provide certificates evidencing such coverage.

Each party shall indemnify, defend, and hold harmless the other party from claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of the indemnifying party's negligence or willful misconduct in the performance of this Agreement.

Change Orders

Client acknowledges that changes to the Scope of Work may require additional fees and/or time. No change shall be binding unless agreed in writing by both parties in a signed change order specifying the additional cost and any change to the schedule.

Force Majeure

Neither party shall be liable for failure to perform to the extent such failure is caused by events beyond the party's reasonable control, including acts of God, government action, strikes, pandemics, or severe weather (Force Majeure). The affected party shall give prompt notice and use commercially reasonable efforts to mitigate the impact.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice-of-law principles.

Entire Agreement

This Agreement, including any exhibits and signed change orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors, and nothing herein creates a partnership or joint venture.
